Policy Limits. There is a maximum aggregate lifetime benefit per Account Holder of $60,000 for all TD Credit Cards of the Account Holder. The Account Holder will be entitled to receive no more than the full Purchase Price of the Insured Item as recorded on the Account receipt or Account statement. Claims for items belonging to a pair or set will be paid for at the Purchase Price of the pair or set provided the parts of the pair or set are unusable individually and cannot be replaced individually. The Administrator, at its sole option, may elect to: (a) Repair, rebuild or replace the item lost or damaged (whether wholly or in part), upon notifying the Account Holder of its intention to do so within forty-five (45) days following receipt of the required Loss Report; or (b) Pay cash for said item, not exceeding the full Purchase Price thereof paid using the Account and subject to the exclusions, terms and limits of liability as stated in this Certificate.

Policy Limits. Regardless of the number of persons or entities insured or included in Part I. E. Covered Persons and Entities, or the number of claimants or Claims made against the Insured: 1. The maximum liability of the Company for Damages and Claim Expenses resulting from each Claim first made against the Insured during the Policy Period and the Extended Reporting Period, if purchased, shall not exceed the amount shown in the Declarations as each Claim; 2. The maximum liability of the Company for all Damages and Claim Expenses as a result of all Claims first made against the Insured during the Policy Period and the Extended Reporting Period, if purchased, shall not exceed the amount shown in the Declarations as Aggregate. The Company shall not be obligated to pay any Claim for Damages or defend any Claim after the applicable Limit of Liability has been exhausted by payment of judgments, settlements, Claim Expenses or any combination thereof. Claim Expenses are part of and not in addition to the applicable Limits of Liability. Payment of Claim Expenses by the Company reduces the applicable Limits of Liability. The inclusion of more than one Insured, or the making of Claims by more than one person or organization, does not increase the Company’s Limit of Liability. In the event two or more Claims arise out of a single negligent act, error or omission, or a series of related negligent acts, errors or omissions, all such Claims shall be treated as a single Claim. Whenever made, all such Claims shall be considered first made and reported to the Company during the Policy Period in which the earliest Claim arising out of such negligent act, error or omission was first made and reported to the Company, and all such Claims shall be subject to the same Limit of Liability.

Notwithstanding the foregoing, each of Tenneco, Industrial Company and Shipbuilding Company shall, to the extent any of its respective Covered Persons shall have exhausted all or any portion of the limits of liability, if any, under any Claims-Made Policy, use its best efforts to either (i) obtain and comply in full with the conditions required to effect the reinstatement of the full limits of liability under such Claims-Made Policy for all claims which would be covered thereby absent such exhaustion (including any pending or known claims) and be responsible for and pay all costs and expenses, including the amount of any resultant increase in the premium charged in respect of such Claims-Made Policy or any renewal thereof, in connection therewith, or (ii) obtain and maintain in full force and effect at its own cost a Policy in replacement of the limits of liability exhausted under such Claims-Made Policy for all claims which would be covered thereby absent such exhaustion (including any pending or known claims), and be responsible for and pay all costs and expenses in connection therewith, which Policy shall provide at least the same coverage, and contain terms and provisions which are no less favorable to the insured parties, as existed under the Claims-Made Policy in respect of which such replacement is obtained, provided, however, that no party hereto shall be required to expend more than an amount equal to 350% of the original premium paid with respect to the portion of the limits of liability under such Claims-Made Policy (determined on a pro rata basis) exhausted by such party's respective Covered Persons to obtain reinstatement or a replacement Policy as contemplated hereby, it being understood that each party hereto shall nonetheless be required to obtain the maximum amount of reinstatement or replacement coverage available for such 350% premium amount in accordance with the terms and provisions of clauses (i) or (ii) hereof, as applicable. Policy Limits. The insurance coverage and limits required of the Engineer under this Contract are designed to meet the minimum requirements of the City and its participating trusts.
