Positions and Reporting. The Company hereby employs the Executive for the Employment Period as its President and Chief Operating Officer on the terms and conditions set forth in this Agreement. During the Employment Period, Executive shall report directly to the Chairman on an ongoing basis and directly to the Board of Directors of the Company (the "Board") with full access to the Board except during executive sessions.
Positions and Reporting. Executive shall be employed as the Executive Vice President, Chief Credit Officer of the Bank. During the Employment Period, Executive shall report directly to the Chief Executive Officer of the Bank.
Positions and Reporting. The Company hereby employs the ----------------------- Executive for the Employment Period as its Vice President - Marketing on the terms and conditions set forth in this Agreement. During the Employment Period, the Executive shall report directly to the Chief Executive Officer of the Company, the President of the Company, or any designee thereof.
Positions and Reporting. Executive shall serve as President and Chief Operating Officer of Bancshares. During the Employment Period, Executive shall report directly to the Board of Directors of Bancshares (the “Board”).
Positions and Reporting. The Company hereby employs the Executive for the Employment Period as its Chief Executive Officer and Chairman of the Board and as the President of PPI on the terms and 2 use its best efforts to cause the Executive to be nominated and re-nominated for election as Chairman of the Board of Directors of the Company (the "Board") for each term of such office commencing during the Employment Period. During the Employment Period, the Executive shall report directly to the Board and the Board of Directors of PPI in his respective capacities with each such company.
Positions and Reporting. Executive shall be employed as the Senior Executive Vice President and Chief Financial Officer of the Company and the Bank, and shall report directly to the Chairman, President and Chief Executive Officer of the Company and Chairman and Chief Executive Officer of the Bank.
Positions and Reporting. The Company hereby employs the Executive for the Employment Period as its Senior Vice President and General Counsel on the terms and conditions set forth in this Agreement. During the Employment Period, the Executive shall also serve in such executive capacity and with the responsibility and duties set forth herein (i) on behalf of each of the direct or indirect wholly owned subsidiaries of WellCare and (ii) so long as it owns all of WellCare's issued and outstanding shares of common stock, on behalf of WellCare Holdings, LLC, a Delaware limited liability company ("Holdings"), which as of the date hereof is the parent entity of WellCare. During the Employment Period, the Executive shall report directly to and shall be subject to the authority of (i) the Chief Executive Officer of Holdings, or, if Holdings ceases to own all of WellCare's issued and outstanding shares of common stock, then to the Chief Executive Officer of WellCare (in either case, the "Chief Executive Officer"), or (ii) at the option of the Company, to any person reporting directly to the Chief Executive Officer.
Positions and Reporting. Executive shall be employed as the President and Chief Executive Officer of the Bank and PMB, respectively. During the Employment Period, Executive shall report directly to the boards of directors of the Bank and PMB (the “Board”), or a committee thereof, specifically authorized to direct the Executive. Executive shall also serve as a director of the Bank and PMB, subject to satisfaction of applicable election requirements during the Employment Period provided that Executive shall not be entitled to receive any additional compensation (excluding the payment or reimbursement of any expenses incurred by the Executive) for his services as a director of the Bank, PMB or any of their subsidiaries or affiliates.
Positions and Reporting. Executive shall be employed as Chief Executive Officer for Arm. During Executive’s term of employment, Executive shall report directly to the Company’s and Arm’s board of directors.
Positions and Reporting. The Bank hereby employs the Executive for the Employment Period as its President and Chief Executive Officer. During the Employment Period, the Executive shall report directly to the Board of Directors of the Bank (the “Board”), or a committee of the Board specifically authorized to direct the Executive, composed of at least three (3) members of the Board.
