Common use of Powers and authority Clause in Contracts

Powers and authority. It has (or had at the relevant time) the power and authority to execute and deliver the Transaction Documents to which it is a party and it has the power and authority to perform its obligations under the Transaction Documents to which it is a party and the transactions contemplated thereby.

Powers and authority. It has (or had at the relevant time) the power and authority to execute and deliver the Transaction Finance Documents to which it is a party and it has the power and authority to perform its obligations under the Transaction Finance Documents to which it is a party and the transactions contemplated thereby.

Powers and authority. It has (or had at the relevant time) the power and authority capacity to execute (i) execute, deliver and deliver exercise its rights and perform its obligations under each Finance Document to which it is a party; (ii) carry out the Transaction transactions contemplated by those documents and has taken all necessary corporate, shareholder and other action to authorise the execution, delivery and performance of those documents and transactions; and (iii) make each of the Finance Documents to which it is a party and it has admissible in evidence in the power and authority to perform its obligations under courts of the Transaction Documents jurisdiction to which it is a party and the transactions contemplated therebyhas submitted in such Finance Document.

It has (or had at the relevant time) the power to (i) execute, deliver and authority exercise its rights and perform its obligations under the Finance Documents to execute which it is a party; (ii) carry out the transactions contemplated by the Finance Documents and deliver has taken all necessary corporate, shareholder and other action to authorise the Transaction execution, delivery and performance of those documents and transactions; and (iii) make each of the Finance Documents to which it is a party and it has admissible in evidence in the power and authority to perform its obligations under courts of the Transaction Documents jurisdiction to which it is a party and the transactions contemplated therebyhas submitted in such Finance Document.
