Prevailing Provisions. On and after the Control Change Date, the provisions of this Paragraph 7 shall control and take precedence over any other provisions of this Agreement which are in conflict with or address the same or a similar subject matter as the provisions of this Paragraph 7.

If a Change in Control of KCSI (as defined in Paragraph 7(d) above) occurs prior to or simultaneously with a Change of Ownership (as defined in this Paragraph 8), Executive shall be entitled only to the benefits provided in Paragraph 7 of this Agreement and shall have no rights or benefits under this Paragraph 8. In any circumstance in which the provisions of Paragraph 8(c) above are applicable, Executive shall not be entitled to receive any benefits provided in Paragraph 4(d)(ii) of this Agreement.

Prevailing Provisions. 4.1 In the event there is a conflict between or amongst the clauses in this Agreement and the Schedules and/or Appendices, the documents shall take precedence according to the following order:
(1) the clauses in this Agreement; (2) the clauses in the Registration Form; (3) Appendix 1 (Rules and Regulations); and (4) the Schedules.
4.2 The Privilege Pass Holder acknowledges and agrees that the Company shall be entitled at any time to make, issue, modify, amend or vary the Rules and Regulations without the consent of the Privilege Pass Holder and the Privilege Pass Holder agrees to fully comply with any such revisions.
Prevailing Provisions. The provisions of this Section 7 shall prevail over the endorsement, assignment or transfer provisions set forth on each CCB.

Notwithstanding anything in this Agreement/Contract Documents to the contrary, the City/Owner, a governmental entity, does not agree to indemnification/hold harmless; obtaining or maintaining insurance for Contractor or Engineer; binding arbitration; nor does it waive its right to a jury trial. This provision shall control over any other Agreement/Contract Documents, or other document to the contrary. This provision shall survive the expiration or earlier termination of this Agreement.
Prevailing Provisions. In relation to the negotiation and contracting of any such Third Party license, the provisions of this Section 7.4 shall prevail over the provisions of Section 7.2 and Section 7.3.
