PRICES AND DISCOUNTS. 13.1 The prices quoted by the Tenderer in the Form of Tender and in the Price, Schedules shall conform to the requirements specified below.
13.2 All lots (contracts) and items must be listed and priced separately in the Price Schedules.
13.3 The price to be quoted in the Form of Tender in accordance with ITT10.1 shall be the total price of the Tender, including any discounts offered.
13.4 The Tenderer shall quote any discounts and indicate the methodology for their application in the form of tender. Conditional discounts will be rejected.
13.5 Prices quoted by the Tenderer shall be fixed during the Performance of the Contract and not subject to variation on any account, unless otherwise specified in the TDS. A Tender submitted with an adjustable price quotation shall be treated as non- responsive and shall be rejected, pursuant to ITT 28. However, if in accordance with the TDS, prices quoted by the Tenderer shall be subject to adjustment during the performance of the Contract, a Tender submitted with a fixed price quotation shall not be rejected, but the price adjustment shall be treated as zero.
13.6 If specified in ITT 1.1, Tenders are being invited for individual lots (contracts) or for any combination of lots (packages). Unless otherwise specified in the TDS, prices quoted shall correspond to 100 % of the items specified for each lot and to 100% of the quantities specified for each item of a lot. Tenderers wishing to offer discounts for the award of more than one Contract shall specify in their Tender the price reductions applicable to each package, or alternatively, to individual Contracts within the package. Discounts shall be submitted in accordance with ITT 13.4 provided the Tenders for all lots (contracts) are opened at the same time.
13.7 The terms EXW, CIP, CIF, DDP and other similar terms shall be governed by the rules prescribed in the current edition of Incoterms, published by the International Chamber of Commerce.
13.8 Prices shall be quoted as specified in each Price Schedule included in Section IV, Tendering Forms. The disaggregation of price components is required solely for the purpose of facilitating the comparison of Tenders by the Procuring Entity. This shall not in any way limit the Procuring Entity's right to contract on any of the terms offered. PRICES AND DISCOUNTS. All prices are in Thai Baht (THB) only. The Supplier shall hold the prices fixed throughout the entire term of this Agreement, including any extension period. Any adjustment or revision shall be agreed by both parties. Changes to the LTA prices and general discount shall only be made upon agreement and based on written amendment signed by both parties. The Supplier shall be responsible to apply to the Purchase Orders raised under this Agreement any special offer or discounts (if applicable) which may become effective after the placement of the order and until the delivery is complete. Such discounts shall be reflected in the corresponding invoices. Failure to do so may result in the termination of the Agreement. By signing this Agreement, the Supplier undertakes not to provide the same services under similar circumstances to other customers at a price lower than that offered to UNFPA and stated in this Agreement. Should the Supplier do so, UNFPA will then be offered the new lower price. In the event of any advantageous technical changes and/or downward pricing of the goods/services during the duration of this Agreement, the Supplier shall notify UNFPA immediately. UNFPA will then consider the impact of any such event and may request an amendment to the Agreement.
PRICES AND DISCOUNTS. All parts purchased under the MIS Agreement will be invoiced at prices established by GM. Such prices (f.o.b. shipping point) shall be shown in the applicable MIS Account’s billing schedule and other supplements thereto furnished by GM. All shipments will be billed according to MIS Accounts billing schedule in effect on the date of receipt of an order by GM less my applicable discount and/or allowance allowed by GM, plus any transportation charge, if applicable. GM has the right at any time to change the prices, charges, discounts, allowances and terms of sale affecting any part. Discounts are evaluated on an annual basis dependent upon MIS Account previous year accumulative part purchases under the GM MIS Agreement. Discounts will apply February 1 of current year to January 31 (following year). New MIS Accounts without prior year purchase history will receive a discount of [****] unless initial order supports a higher discount. PRICES AND DISCOUNTS. Sales to Customer are made at such prices and at such discounts as may be established by Company from time to time and which are in effect at the time an order is placed. In the event of discrepancies between published prices (including prices in catalogues such as NutraGuide, NutraDisk, Easy Order) and prices or discount levels that appear on the order verification, the price appearing on the order verification shall be applied. c. Dealer shall establish prices to customers and, in case of direct contract between Company and a customer or Dealer, Company shall quote to Dealer's customer the prices so established by Dealer. Dealer's discount shall be reduced if prices to such customer are below Company's suggested international list prices, it being understood that Dealer shall receive from any payments from the customer only the excess over the net prices due to Company.

In order to mitigate financial risks, should the USD appreciate by more than 10% against the Supplier’s preferred currency for more than six months, the Supplier will be requested, during the course of the LTA, to adjust its USD price downward and use, for that purpose, the UN exchange rate. Similarly, should the USD depreciate by more than 10% against the Supplier’s preferred currency for more than six months, the Supplier will be permitted to adjust its USD price upward by applying the UN exchange rate. 3.3 By signing this Agreement, the vendor/supplier undertakes not to provide the same services under similar circumstances to other customers at a price lower than that offered to the organization and stated in this Agreement. Should the vendor/supplier do so, the organization will then be offered the new lower price.
3.4 if for certain reasons the prices already agreed on become lower and applicable, then in this case a new price list will be reconsidered without bringing any prejudice to the vendor/supplier.

The organization will then consider the impact of any such event and may request an amendment to the Agreement.
PRICES AND DISCOUNTS. Supplier will set the prices at which its Merchandise will be sold and put in force reasonable discounting policies designed to clear stale Merchandise. Except as provided below, Supplier shall have the only authority to markdown Merchandise. Nevertheless, Supplier agrees (i) to participate in limited, selected promotional events in the Covered Stores as agreed upon in advance by Supplier, and (ii) to maintain a policy of periodic markdowns based on length of time Merchandise has been on the selling floor. Supplier shall offer to employees who receive a discount from Filene's own departments under Filene's policies the same discount on all sales of Merchandise as is normally received by them under Filene's then current policies in effect from time to time. Notwithstanding the foregoing, discounts for sales to Filene's employees shall only be in accordance with Filene's normal policies in effect from time to time and shall in no event exceed 30% of the otherwise applicable price for the Merchandise.
PRICES AND DISCOUNTS a. Net price for Products is the HP list price in effect at the time we receive an order from you, less any applicable discounts. Net price includes shipping and handling charges, unless otherwise quoted by us. We will charge for any special packaging or shipping instructions you request. These charges may be billed separately from the Product purchase price. We reserve the right to change prices and discounts at anytime with reasonable prior notice.
b. HP list prices are suggested prices for resale to Customers and are a basis for calculating your net price. You have the right to determine your own resale prices. We will not require any minimum resale price to be charged by you to your next tier channel partner or Customer. We will not grant or withhold any benefits from you based on your resale pricing policies. You will promptly report any effort by HP personnel interfering with your pricing policies directly to an HP officer or senior sales manager.
c. HP prices are exclusive of applicable sales, use, consumption, goods and services, value added or like taxes, or copyright levies, which you will pay. You may be exempt from these charges if you have provided us with an appropriate exemption certificate for the delivery jurisdiction, or we agree the transaction is otherwise exempt.
d. Upon your request, we may grant special pricing to you for particular Customer transactions. In good faith we may retract the special pricing at any time before acceptance by the Customer. Subject to applicable legal requirements, we may extend the pricing on an exclusive or non-exclusive basis, and may condition the pricing on a pass-through of all or part of the non-standard pricing offer extended by us or any other condition we indicate.
e. We may offer you certain Products and Support on special promotional terms and conditions. All such offerings may be subject to pricing or discounts different from those provided for in this Agreement. Such offerings may not apply towards your volume or other commitments, and may not be eligible for other standard benefits, including but not limited to promotional allowance funds, price protection or stock adjustments.
