Prior to Recovery from Hutchison. If, before Xxxxxxxxx pays an amount in discharge of any Warranty Claim (other than a Tax Warranty Claim) to Mergeco, any Mergeco Group Company (as applicable) recovers or is entitled to recover (whether by payment, discount, credit, relief, insurance or otherwise) from a third party a sum which indemnifies or compensates any Mergeco Group Company (in whole or in part) for the loss or liability which is the subject matter of such Warranty Claim, Mergeco shall procure that, before steps are taken to enforce such Warranty Claim against Xxxxxxxxx following notification under Clause 14.2, all reasonable steps are taken to enforce the recovery against the third party and any actual recovery (less any reasonable costs incurred in obtaining such recovery and less any Taxation due (or which would have been due but for the availability of a Relief) on the amount recovered, save if and to the extent that Hutchison has already discharged such costs, expenses or Tax or otherwise compensated the relevant Mergeco Group Company in respect of them) shall reduce the amount of such Warranty Claim to the extent of such recovery.

  • Miscellaneous The Vendor acknowledges and agrees that continued participation in TIPS is subject to TIPS sole discretion and that any Vendor may be removed from the participation in the Program at any time with or without cause.   • Payment Terms DXC agrees to pay Supplier the undisputed amount of an invoice within ninety (90) days after the receipt of a valid, complete and properly documented invoice. Any prompt payment discount will be calculated from the date a conforming invoice is received by DXC. Payment will be in U.S. currency unless otherwise stated. Payment will not constitute acceptance of Products and/or Services or impair DXC’s right to inspect. Acceptance shall be when DXC deems the Products and/or Services to meet its specified criteria (“Acceptance”). DXC, at its option, and without prior notice to Supplier, shall have the right to set off or deduct from any Supplier’s invoice, any credits, refunds or claims of any kind due DXC.

  • Subcontractors The Contractor will not subcontract any work under the Contract without prior written consent of the Department. The Contractor is fully responsible for satisfactory completion of all its subcontracted work.
