Pro Forma Compliance Certificate and Financial Projections. Receipt and review of pro forma compliance certificate of the type required by paragraph (3) of Section 6.09 and financial projections for General Partner’s consolidated operations calculated as of the most recent quarter ending at least 50 days prior to the Closing Date (or fiscal year ending at least 95 days prior to the Closing Date, whichever is later) and giving pro forma effect to the Combination Transactions;
