Problems with Licensed Materials. If the Licensed Materials fail to operate, display, load, or render in conformance with the terms of this Agreement, the Licensee or the Participating Institution shall immediately notify the Licensor in writing, and the Licensor shall promptly use best efforts to restore access to the Licensed Materials as soon as possible. In the event that the non-conformity materially affects the Participating Institutions’ or the Authorized Users’ use of the Licensed Materials, and the Licensor fails to remedy the non-conformity within five (5) business days, the Licensor shall reimburse the Licensee for such problems in an amount that is proportional to the Fee.

In the event that the non-conformity materially affects the Participating Institutions’ or the Authorized Users’ use of the Licensed Materials, and the Publisher fails to remedy the non-conformity in all material respects within five (5) business days, the Distributor shall reimburse the Licensee for such problems in an amount that is proportional to the Fee.

If access to the Licensed Material does not conform with the terms of the Agreement, the Licensor shall immediately notify LYRASIS and Participating Institutions, and the Licensor shall promptly use reasonable efforts to restore access to the Licensed Material as soon as possible. In the event that the Licensor fails to repair the nonconformity in a reasonable time, the Licensor shall reimburse the Participating Institutions in an amount that is proportional to the total fees paid by the Participating Institutions under the Agreement.

If the Licensed Materials fail to operate, display, load, or render in conformance with the terms of this Agreement, Licensee shall immediately notify Licensor, and Licensor shall promptly use reasonable efforts to restore access to the Licensed Materials as soon as possible. In the event that the non-conformity materially affects Participating Institutions’ or Authorized Users’ use of the Licensed Materials, and Licensor fails to repair the nonconformity within five (5) business days, Licensee may terminate the Service in question with notice to Licensor and receive a refund of any prepaid but unused fees for such Service.

If the Licensed Materials fail to operate, display, load, or render in conformance with the terms of this Agreement, the Licensee shall immediately notify the Distributor, and the Distributor shall promptly use best commercially reasonable effort to restore access to the Licensed Materials as soon as possible. If, however, the Licensed Material[s] is unavailable due to circumstances within the Publisher’s reasonable control for a period of twelve hours in a 24 hour period not including times scheduled for normal or scheduled systems maintenance and upgrades, the affected Participating Institution(s) will be entitled to receive the number of ArticleSelect tokens which is the average number of daily full-text downloads used by the affected Participating Institution(s) from the previous calendar year at no cost and valid for one calendar year.
