Product and ServicesSubject to the timely receipt of payment and conformance to the T&Cs herein and the Xxxx Terms of Use, CL shall deliver the Product and Services, as detailed above. CL shall make the Product and Services available for use by CustomersAuthorized Users. An “Authorized User” means only any resident of the state of Customer who is a registered library patron of a Customer library, i.e., any public libraries, any academic institutions (public and private higher education institutions), any Educational Service Districts, any K-12 schools (public, private), any State accredited schools in the State of Customer, and any eligible special libraries, including: all then currently enrolled students, faculty, staff, registered patrons, Walk-ins, and remote users whose access to the Xxxx Product and Services is authenticated by a secure server or other system. The Xxxx Products and Services is not for use by For-Profit Libraries, or Corporations in the state of Customer or elsewhere.

An “Authorized User” means only (i) for public libraries: library staff, individual residents of the library’s reasonably defined geographic service area, and walk-in patrons accessing the Services on site; (ii) for schools and academic institutions: currently enrolled students, faculty, staff, and visiting scholars, as well as walk-in patrons accessing the Services on site; (iii) for other types of organizations and subscribers: employees, and independent contractors, in the capacity of their employment or engagement with the organization. Authorized Users excludes corporate affiliates of the subscriber institution, academic bookstores, and alumni unless those users are expressly included in the Invoice.

Product and Services. 1. Subject to the Customer Responsibilities, Synergy will provide the Product (if any) and Services as set out in the Order Form in accordance with the terms and conditions of this Agreement. In doing so Synergy warrants that: a. it has the authority to enter into and perform it obligations under this Agreement and that this Agreement has been duly executed and is a legal, valid and binding Agreement; b. it will act in good faith towards Customer and provide such assistance and co-operation as is practicable on request by Customer; during the term, the Product and Software will operate substantially in accordance with the Documentation; c. It will provide the Services in a manner consistent with industry standards reasonably applicable to the provision of those Services and substantially in accordance with the requirements set out in the Order Form and Documentation. However, Synergy doesnot warrant that the Services and operation of the Product will be uninterrupted or error free. d. it has all rights necessary to supply the Documentation and to license the Software in accordance with this Agreement and that Customer’s use of Synergy’s Materials (including Software) does not infringe the Intellectual Property Rights of any third party; e. it will comply at all times with applicable law and regulation, including the Privacy Laws as they apply to Synergy from time to time; and f. It will not do anything or make any statement that could harm the reputation of Customer. g. Synergy provides the Service as is and makes no warranty as to the suitability of the Service to Customer. 2. The provision of the Product and the Services is subject to and dependent upon the Customer timely supply of all listed goods and/or services set out in the Order Form or outlined as dependencies for the Product and/or the Services in writing. The provision of the Product and the performance of the Product are dependent on the Customer performing the Customer Responsibilities by the relevant date. 3. Synergy will use its best endeavours to meet any service levels set out in the applicable Order Form but will not be liable to the Customer for damages resulting from a failure to meet any service level.

Product and Services. 1.1 NBSL offers a web‐based service (hereinafter referred to as “BOOK2LOOK”) operated by Book2Look International GmbH (“B2L”), which serves as an online marketing tool for publishers to promote the books they publish, by use of “BIBLETS”. NBSL asserts and confirms that NBSL is appointed and licensed by B2L to act as the exclusive distributor of BOOK2LOOK in the UK. 1.2 A BIBLET is a collection of book details (the “Data”), including, if desired, an excerpt from the text of a book (the “Content”), (as defined in Appendix 1) that can be browsed online. A BIBLET may also include a digital image of the book cover (an “Icon”) specifically for display with the rest of the BIBLET where possible. All of the Data (and any Content or Icon) in a BIBLET is uploaded by participating publishers (in accordance with Clause 3), acting on their own legal and editorial responsibility, to a server operated by B2L for this purpose (hereinafter “B2L Server”) and using an access account assigned to them by B2L through NBSL. From there, the Data (and any Content or Icon) will be displayed in the BIBLET and thus made accessible to the public when Internet users (hereinafter referred to as “users”) select the corresponding BIBLET. 1.3 In keeping with their function as a marketing tool, BIBLETS are designed to be further disseminated by their users. BIBLETS can therefore be sent out by publishers and users as recommendations to third parties in the form of an e‐mail, and/or integrated into websites, social bookmarking sites and social networks (hereinafter collectively referred to as “third party services”) insofar as the operator of the third‐party services allow the corresponding integration (so‐called “embedding”). 1.4 Under the following contract terms prescribed by B2L, BOOK2LOOK participating publishers determine for themselves how many BIBLETS they will create, as well as what content they will make accessible to the public in this manner and release for dissemination by the user. 1.5 A BIBLET comprises the Data (and any Content or Icon) as constituted in a form held on, and made available through, the B2L Server. Each BIBLET created by a PUBLISHER is owned by the PUBLISHER, and the PUBLISHER has full control of the use of the BIBLET subject to the terms of this contract.
