Product Certifications. The product certifications (“MediVision Product Certifications”) given or granted by manufacturers, manufacturers associations, technical associations, or similar bodies, or by any Governmental Body, in each case with respect to Products, are all the MediVision Product Certifications relating to Business or the Purchased Assets, and constitute all the MediVision Product Certifications necessary for Seller and Subsidiary, in connection with the Buisness or the Purchased Assets, to conduct their respective businesses as currently conducted, and are listed in Section 6.18 of the Seller Disclosure Letter, except as does not constitute a Seller Material Adverse Effect. Seller has not made any material modifications or updates to the Products which would require MediVision Product Certifications different from or in addition to those set forth on Section 6.18 of the Seller Disclosure Letter and, other than as set forth on Section 6.18 of the Seller Disclosure Letter, to the Knowledge of Seller, none of the MediVision Product Certifications would be terminated, rescinded or modified as a result of the execution of this Agreement.
Product Certifications. Distributor acknowledges that the Company owns any and all rights to market Products in each respective international market. To the extent Distributor obtains certifications, registrations and approvals for the Company to market the Products into **** Certain confidential information contained in this document, marked with four asterisks, has been omitted and filed separately with the Securities and Exchange Commission pursuant to Rule 24b-2 of the Securities Exchange Act of 1934, as amended. foreign markets outside the United States of America which comprise a portion of the Territory, Distributor hereby acknowledges that it is only acting as an agent to facilitate and expedite the process of obtaining such certifications, registrations and approvals for the Company. Any and all such certifications, registrations and approvals shall be transferred under the Company’s name. In the event any such certifications, registrations and approvals are at any time under Distributor’s name, then Distributor agrees to transfer such certifications, registrations and approvals under the Company’s name. In addition, the Company is hereby authorized to act as Distributor’s agent to transfer any and all such certifications, registrations and approvals under the Company’s name.
Product Certifications. Licensor has the sole responsibility for determining which regulatory Product certifications will be obtained . Licensor will provide necessary funds to Licensee to obtain and maintain these product certifications. Licensee agrees to provide technical and administrative support in obtaining and maintaining Product regulatory certifications. These regulatory certifications include but are not limited to; emissions, immunity, safety and environmental.
Product Certifications. Distributor and Global Energy will cooperate and coordinate efforts to obtain, at Global Energy's expense, certifications for the Products which Distributor in its discretion determines to be necessary or desirable to support Distributor's sale of the Products.
Product Certifications. (i) The product certifications given or granted by processors or manufacturers with respect to Products (“Product Certifications”) constitute all the Product Certifications necessary for the Company and its Subsidiaries to conduct their respective businesses as currently conducted, and each Product is certified in the countries in which it is sold, other than as set forth in Section 5.1(t) of the Company Disclosure Letter. The Company has not made any material modifications or updates to the Products which would require Product Certifications different from or in addition to those in effect as of the date of this Agreement, and, other than as set forth in Section 5.1(t) of the Company Disclosure Letter, to the Company’s knowledge, none of the Product Certifications would be terminated, rescinded or modified as a result of this Agreement or the completion of the Merger.

MediVision has not made any material modifications or updates to the MediVision Products which would require MediVision Product Certifications different from or in addition to those set forth on Section 5.01(u) of the MediVision Disclosure Letter and, other than as set forth on Section 5.01(u) of the MediVision Disclosure Letter, to MediVision’s knowledge, none of the MediVision Product Certifications would be terminated, rescinded or modified as a result of this Agreement or the completion of the Merger.
