Product Inventory. Upon Closing, Seller shall sell, transfer, assign, convey and deliver, or shall cause to be sold, transferred, assigned, conveyed and delivered to Buyer, the Product Inventory.
Product Inventory. Coaches may not carry an inventory of OPTAVIA products for resale (including but not limited to resale to other Coaches). All products are direct-shipped from the Company to the buyer. Therefore, Coaches should not purchase more products in a month than they and/or their family can reasonably expect to consume during the month.
Product Inventory. Prior to Closing, Seller shall ensure that the quantities of finished Product set forth on Section 5.8 of the Seller Disclosure Schedule are available at Closing.
Product Inventory. A designer is required to go out to the existing space and assess/inventory the existing furniture layout and products. A drawing and specification list of the existing furniture layout is required prior to beginning a reconfigure.
Product Inventory. Licensor shall have the right to purchase from Licensee all or part of the inventory of the Products held by Licensee or its Affiliates as of the effective date of termination at a price equal to Licensee’s fully burdened manufacturing cost. Licensor shall notify Licensee whether Licensor elects to exercise such right within thirty (30) days after the effective date of termination. If Licensor does not exercise such right to purchase all such inventory, then Licensee shall have the right to continue to sell any remaining inventory of the Products, for a period of no more than one (1) year after the date of termination, provided that Licensee continues to pay Licensor royalties on the Net Sales of the Product sold after termination in accordance with Section 4.3.
Product Inventory. Subject to MATRITECH's fulfillment of its supply obligations, CYTOGEN shall be responsible for maintaining adequate inventory of Product to meet consumer demand.
Product Inventory. All Product Inventory is owned by a Seller free and clear of all Liens, and no Product Inventory is held on a consignment basis. Except as set forth on Section 5.12 of the Disclosure Schedules, all of the Product Inventory is in good and marketable condition and is usable and of a quality salable in the Ordinary Course of Business (other than damages or losses to inventory arising in the Ordinary Course of Business). Except as set forth on Section 5.12 of the Disclosure Schedule, the consolidated Product Inventory, net of applicable inventory reserves, set forth on the Balance Sheets and Financial Statements was valued at net realizable value and was properly stated therein in accordance with GAAP applied on a consistent basis throughout the periods indicated in all material respects. Except as set forth on Section 5.12 of the Disclosure Schedule, inventory reserves for obsolete, slow-moving, excess, damaged or otherwise unsaleable and unusable inventory have been reflected on the Balance Sheets in accordance with GAAP applied on a consistent basis throughout the periods indicated in all material respects.
Product Inventory. (a) At the Closing, Seller will provide Buyer a list of all Product Inventory. All Product Inventory as of the date of this Agreement:
Product Inventory. (i) Within ninety (90) days following the Closing, Buyer and Sellers shall make a joint determination of the actual Product Inventory levels (calculated in barrels on a product-by-product basis) of the Companies as of the Effective Time (“Actual Product Inventory”).
Product Inventory. All Inventory listed and provided pursuant to Section 3.3(b)(ii) shall be sold to Purchaser at its book value to Seller, which payment is in addition to the Purchase Price. Inventory with a shelf life less than 12 months (“short dated inventory”) as of the Closing Date shall be purchased per Exhibit L attached hereto.
