Product Reports Clause Samples
The Product Reports clause requires one party, typically the seller or manufacturer, to provide regular or periodic reports detailing information about the products covered under the agreement. These reports may include data such as sales figures, inventory levels, product defects, or customer feedback, depending on the nature of the contract. By mandating the sharing of such information, this clause ensures transparency between the parties and enables better monitoring of product performance, helping to identify issues early and support informed business decisions.
Product Reports. Company will account for Products in inventory on a monthly basis. Products in inventory include Products at all Company facilities. Company will make this accounting available to MS upon request. The Product accounting will reconcile beginning and ending Product inventory. It will also include:
(1) Product and APM acquisitions from ARs and MS Parties.
(2) COA serial number ranges on the Runtime License envelopes with corresponding shipment dates.
(3) OEM Customers’ returns.
(4) COAs, Product, and APM that cannot be distributed for any reason.
(5) Product shipped as replacement units.
Product Reports. US Bio shall generate and furnish to Dyax (or its designee) the Product reports specified in the Statement of Work attached as Exhibit B (collectively, the “Product Reports”).
Product Reports. Commencing in the Quarterly Period in which the First Commercial Sale occurs, within *** of the end of each Quarterly Period, Licensee shall deliver to Licensor a complete and accurate product report (each, a “Product Report”), giving such particulars of the business conducted by Licensee and Sublicensees during the preceding Quarterly Period under this Agreement as shall be pertinent to a royalty accounting hereunder. Without limiting the generality of the foregoing, the Product Reports shall be in substantially the form of Exhibit B attached hereto and include at least the following on a Licensed Product-by-Licensed Product basis: *** Upon termination of this Agreement, Product Reports accompanied by any applicable Earned Royalties and Sublicense Fees shall continue to be due until a final Product Report is submitted, which shall be due within *** following the termination of this Agreement. All Product Reports shall be deemed Licensee’s Confidential Information.
Product Reports. Within * days after the end of each calendar year during the Term, Client will provide to Hovione a report (the “Product Consumption Report”) in a form mutually agreed by the Parties setting forth (i) the total quantity of Product purchased by Client for commercial sale in the Territory in the immediately preceding calendar year; (ii) based on the foregoing, the Minimum Purchase Obligation under this Agreement for the applicable calendar year; and (iii) the total amount of Product purchased from Hovione under this Agreement during the applicable calendar year. Further, if requested in writing by Hovione at least * business days prior to issuance of a given Product Consumption Report, Client shall have such Product Consumption Report signed by a duly authorized representative of Client. If any such Product Consumption Report shows that Client has not met its Minimum Purchase Obligation, if any, with respect to a given calendar year then Client will include with such Product Consumption Report a payment to Hovione at the Supply Price in effect at the end of such calendar year for the requirements shortfall.
Product Reports. AGE will keep accurate records of Product deficiencies (bugs) and make such reports available to LMS at least quarterly on a best effort basis. AGE will maintain an electronic means through which LMS can obtain up-to-date information on bugs, fixes, and updates.
Product Reports. Frontier will keep accurate records of Product deficiencies (bugs) and make such reports available to Cisco at least [*] on a best efforts basis. Frontier will maintain an electronic means (e.g., an FTP server) through which Cisco can obtain up-to-date information on bugs, fixes, and code updates.
Product Reports. Supplier will keep accurate records of Product deficiencies and make such reports available to Purchaser in a timely manner.
Product Reports. Within [****] of the end of each [****] following the date of the first commercial sale of a Licensed Product, Aligos shall deliver to Emory complete and accurate reports, giving such particulars of the business conducted by Aligos and its Affiliates and Sublicensees during the preceding [****] period under this Agreement as shall be pertinent to a royalty accounting hereunder. These reports shall include at least the following, on a Licensed Product-by-Licensed Product basis:
A. The numbers of each Licensed Product sold by Aligos and each Affiliate and Sublicensee, broken down by territory;
B. Total receipts, and an accounting of other consideration provided in the definition of Net Sales, for each Licensed Product sold by Aligos and each Affiliate and Sublicensee in each relevant territory;
C. Details of each deduction applicable to the sale of each Licensed Product, as provided in the definition of Net Sales;
D. Total royalties due to Emory, as well as a detailed accounting of how such royalties was calculated including the exchange rates, if any, used in determining the amount due;
E. Names and addresses of all Sublicensees of Aligos that have commercial sales of Licensed Products during such period;
F. Payments and other consideration received from each Sublicensee from the sale of Licensed Products during such period and an explanation of the contractual obligation satisfied by such consideration; and
G. Description and product codes, or other Aligos identifier, of each category of Licensed Product sold.
Product Reports. Buyer shall provide Contractor with a copy of all medical device reports ("MDR") and user reports pertaining to the Product of which the Buyer is aware.
Product Reports. From and after the Closing Date, until such time as payments to Seller in respect of Post-Closing Royalty Amounts have been paid in full under Section 2.2(b)(iii), Purchaser shall furnish to Seller (i) a copy of the quarterly written report required to be furnished to QLT USA by Section 4.05(a) of the Sanofi Agreement and Section 4.05(a) of the MediGene Agreement, respectively, promptly following the date on which such report is furnished to QLT USA and (ii) any other written report received with respect to the Post-Closing Royalty Amounts from Sanofi or MediGene.
