Product Shipments. Packaging and preparation for shipment shall be ----------------- done by AAI in a manner designed to keep Product in a safe, chemically stable and undamaged condition. Title to each shipment of Product, and the risk of loss or damage with respect thereto, shall pass to OraPharma at shipping point upon delivery to OraPharma's designated carrier.
Product Shipments. 5.1 ALL PRODUCTS shipped by ENZO to AMERSHAM will be shipped F.O.B. Farmingdale, NY. ENZO shall ensure PRODUCTS are suitably, safely and securely packaged and labeled before dispatch.
5.2 ALL COMPONENTS shipped by AMERSHAM to ENZO will be shipped F.O.B. Cardiff Laboratories, Wales. AMERSHAM shall ensure COMPONENTS are suitably, safely and securely packaged and labeled before dispatch.
Product Shipments. TEIKOKU JAPAN shall properly prepare and package the Product and the Commercial Package so that it may be lawfully and safely shipped to points designated by ENDO in the Territory. Further, to the extent requested by ENDO or as required by TEIKOKU-ENDO SUPPLY & MANUFACTURING AGREEMENT PAGE 13 applicable law or custom, for each shipment of Product, TEIKOKU shall prepare and execute all necessary or applicable shipping documents; including a Certificate of Analysis for each lot and include such documents with each shipment. Terms of shipment will be FOB delivered to ENDO's Atlanta, Georgia Distribution Center site, duty paid, or such other site as may be mutually agreed upon by the parties hereto. ENDO shall inspect all such shipments upon their receipt and shall report any readily discernible defects to TEIKOKU USA within sixty (60) days of receipt of the shipment of Product. ENDO will report any defects not readily discernible to TEIKOKU USA within thirty (30) days of ENDO's discovery of same. ENDO shall not be deemed to have finally accepted the Product shipment until completion of ENDO's review of all relevant documentation related to the shipment of the Product and/or retesting of the Product.

SecureAlert agrees that upon termination of this Agreement, SecureAlert will ship Products only with respect to orders from Distributor duly accepted by SecureAlert during the term of this Agreement for which SecureAlert has received full payment. Distributor shall not be entitled to and shall not claim or seek indemnification or any other form of damages or compensation from SecureAlert by reason of termination of this Agreement pursuant to its terms or loss of its rights under this Agreement pursuant to such termination, nor shall it seek compensation or damages on account of prospective profits or income after the termination date.
