PRODUCTIONS. Company does not guarantee any credit in connection with the series, for which I render and fully complete all of my services hereunder. All other matters relating to credit will be determined by Company in its sole discretion. No casual, inadvertent or unintentional failure by Company to comply with the credit provisions hereof (by reason of shortage of time or otherwise) or any failure by any third party to comply with such credit provisions will constitute a breach by Company of this Agreement. In the event that I disclose any Confidential Information with the Company’s express authorization to an individual working in conjunction with me, I will have such individual sign a copy of this Agreement. PRODUCTIONS. “Confidential Information” further includes any and all confidential information and trade secrets relating to the operation, business, financial affairs, products, sales, services, artistic creations or intellectual properties of the Company or any other party with whom the Company is doing business and any and all other information concerning the Company and/or the Series, including without limitation all plans, treatments, scripts, budgets, programs, outlines, drawings, specifications, ideas, concepts, models and documents. Viewing acknowledges that [they] will be given access to certain personal, confidential, and/or proprietary information while working on the project. Viewing agrees to keep all information confidential from all third parties during the course of this project and after its completion. In addition, I understand and agree that all plans, treatments, scripts, budgets, programs, outlines, notes, drawings, specifications, ideas, suggestions, concepts, models, documents, cast and crew member information (collectively, “Work Product”), or any other tangible or intangible information I may offer in meetings or written material with the Company concerning the Series and any Work Product I produce in working on the Series shall be and shall remain the property of the Company as a work made for hire. To the extent any Work Product is not a work made for hire, I hereby transfers and assigns all rights, title and interest in the Work Product to the Company. None of the Work Product or such information shall be subject to any obligation of confidence on the part of the Company, the Company shall have full right to utilize the same in any manner whatsoever and the Company shall not be liable for any use or disclosure of the same. I further agree to continue to treat all Confidential Information confidentially as set forth above until the information is approved for release by written authorization of the Company; provided. Client will be the sole owner of the final project as well as the owner of the Viewing’s notes, drafts, documents or other work product related to the project. By signing this agreement, Viewing transfers any and all ownership in the aforementioned work product to Client. Client will be the sole and exclusive copyright holder for the project.
