Professional Advice and Recommendations. 1.6.1. CM shall continuously provide District with its professional advice and recommendations on all aspects of the Project, including but not limited to, planning, design, construction, close out, regulatory compliance, continuing evaluation of schedule requirements and budget requirements. Construction Manager shall meet weekly with District personnel to provide project status updates. 1.6.2. CM shall provide District with input and recommendations to District for the engagement of other consultants or securing of additional information by District as required for efficient and successful completion of the Project. If requested, and subject to agreement on mutually acceptable terms, Construction Manager shall engage such consultants or secure such data on behalf of District following District procedures; and in all cases, shall support District in negotiating fees and preparing and processing agreements as required. These consultants, upon approval by District, may be retained by District or Construction Manager by amendment to the Agreement. 1.6.3. Construction Manager’s services providing required advice and recommendations, and assistance with consultants, shall not enlarge or restrict Construction Manager’s scope of Services, other than the obligation to advise District of Construction Manager’s professional recommendations. Specifically, if Construction Manager should recommend District procure services outside of Construction Manager’s current scope of work, Construction Manager does not thereby create any contractual obligation on its part to perform or have performed such services.

  • Professional Advice The acceptance of the Options and the sale of Common Stock issued pursuant to the exercise of Options may have consequences under federal and state tax and securities laws which may vary depending upon the individual circumstances of the Optionee. Accordingly, the Optionee acknowledges that he or she has been advised to consult his or her personal legal and tax advisor in connection with this Agreement and his or her dealings with respect to Options. Without limiting other matters to be considered with the assistance of the Optionee’s professional advisors, the Optionee should consider: (a) whether upon the exercise of Options, the Optionee will file an election with the Internal Revenue Service pursuant to Section 83(b) of the Code and the implications of alternative minimum tax pursuant to the Code; (b) the merits and risks of an investment in the underlying shares of Common Stock; and (c) any resale restrictions that might apply under applicable securities laws.

  • Conclusions and Recommendations Based on our country-by-country analysis, 197 of the AEWA populations are already well-monitored both for population size and trend. Our prioritisation method allowed focusing on the AEWA conservation and management priorities (Priorities 1-2) and to consider cost effectiveness and feasibility (Priorities 3-6). In the Black Sea - Mediterranean - Sahelian flyway the focus should be primarily on the Sahel countries and especially on increasing the consistency of annual counts. The quality of monitoring is already better in the Black Sea and Mediterranean regions. In the East Atlantic, the ongoing capacity-building activities should continue and the consistency and representativity of site coverage should be further strengthened in most countries. Angola would require a major capacity improvement but primarily for the intra-African migrants on inland wetlands. It is also clear that the targets of the AEWA Strategic Plan cannot be achieved without complementing the IWC with periodic aerial surveys both in Western Africa as well as in Eastern and Southern Africa, by setting up a periodic offshore waterbird monitoring scheme in the Caspian Sea and by focusing in each country on a relatively small number of breeding bird species strategically selected in this report.

  • Advice and Commentary 6.1. The Company will not advise the Client about the merits of a particular Order or give him any form of investment advice and the Client acknowledges that the Services do not include the provision of investment advice in Financial Instruments or the Underlying Markets or Assets.
