Professional Medical Services. Medical Group hereby employs Physician, and Physician hereby accepts and agrees to such employment pursuant to all of the terms and conditions of this Agreement. During the term of this Agreement, Physician shall render those professional medical services listed at Exhibit A attached hereto and incorporated herein by this reference and such administrative and management services as may be delegated to Physician by Medical Group on a full-time, exclusive basis in accordance with all of the terms and conditions of this Agreement. Physician hereby agrees to devote his or her full-time and attention, together with his or her best endeavors and skill for the interest, benefit and best advantage of Medical Group. All earnings derived from the Physician's performance of professional medical services shall accrue to and be the property of Medical Group or Genoptix, Inc., as more fully described in Section 4 below.
Professional Medical Services. LGMG shall provide or arrange for the provision of professional medical and other healthcare services at the Health Center as set forth more fully in Exhibit A in accordance with Applicable Law.
Professional Medical Services. Resident will provide the following professional services as reasonably directed by Employer: A-1.1 Deliver professional medical services in Resident’s Specialty to patients at the Practice Sites as directed by and exclusively on behalf of Employer to be best of Resident's abilities and at a satisfactory level of competence, as determined by the Program Director and Employer's Director Medical Education; A-1.2 Provide on-call coverage at Practice Sites as mutually arranged with other Residents and physicians or as otherwise reasonably requested by Employer pursuant to a call schedule Policy approved and A-1.3 Supervise and provide medical direction to persons who render professional services at Practice A-1.4 Promptly prepare, or cause to be prepared, reports of all examinations, procedures or other services performed, the instructions given to the patient, and such other information as Employer will from time to time require of its Residents. The reports will be filed promptly and in an appropriate format as required by applicable Employer Policy, law, rule or regulation; A-1.5 Participate as a provider in Mission Point initiatives, or such other care coordination efforts as are reasonably required by Employer; A-1.6 Accept the duties and responsibilities as outlined in the House Staff Handbook, which shall be sent by Employer and made readily available to Resident in electronic form (“Handbook”), including but limited to policies concerning health and disability, leaves of absence or other requirements of the Accreditation Council for Graduate Medical Education (“ACGME”). As a full-time employee of Employer, Resident agrees to be bound by the Handbook, as updated from time to time, and all other applicable policies, procedures and/or requirements of Employer and the ACGME as stated herein, including the Policies of Employer on moonlighting and the ACGME's Duty Hours Regulation.
Professional Medical Services. Seller shall cease to provide all professional medical services as of the Closing Date, and upon the earlier of (i) thirteen (13) months after the Closing Date, and (ii) the resolution of any pending litigation against Seller, the Unitholders shall (and shall cause Seller to) dissolve Seller in accordance with the laws of the State of Florida.
Professional Medical Services. County hereby grants the right to Kings View to employ, contract with, or otherwise arrange for the services of a Provider, and hereby grants to a Provider the right to provide professional medical services as County may direct. The duties of the Provider in treating clients hereunder shall specifically not be performed under the direct control of County or Kings View, but rather shall be performed by the Provider in accordance with the standards prevailing in the Provider’s related medical community.
Professional Medical Services. Physician agrees to work and improve the health and well-being of the Practice’s patients. For these services, the Physician will be paid at a rate of Fifty-Six Dollars and Fifteen Cents ($56.15) per RVU. This compensation is based on the average from the Xxxxxx’x Hospital Review. These services include, but are not limited to, the following: Provides patient medical services, which are limited to services within the training and experience of the practitioner. Obtains complete, detailed, and accurate medical histories on patients. Reviews patient records to develop comprehensive medical status reports. Performs health assessments and physical examinations, and records all pertinent patient data. Interprets and integrates patient data, for the purposes of establishing presumptive diagnoses, and the general workup of the patient by ordering appropriate laboratory studies, radiological and other special examinations or diagnostic procedures required for the evaluation of illness. Administers injections, immunizations, and oral medication. Sutures wounds. Prescribes, administers, and dispenses drugs in accordance with federal and state laws and standards of practice. Provides instructions and guidance and counseling regarding medical care matters to patients and their families. Arranges for referral or refers patients to needed services that cannot be provided to patients in the clinic. Interviews and advises patients regarding health and illness prevention. Recommends community resources to meet patient and family needs, as appropriate. Triages patient telephone calls and provides consultation, as requested. Performs independent evaluations and treatment procedures in emergency situations. Monitors patients and provides continuity of care between visits. Records complete and accurate chart entries on patient transactions, writing orders, and recording progress notes summarizing patient clinical care. Provides input in hiring, disciplinary action, and termination of clinic personnel. Provides annual clinical evaluations of nursing, lab, and x-ray personnel employed by the clinic. Oversees the nurse practitioner(s) and/or physician assistant(s) to assure clinical competence – may discipline up to, and including, termination of the employee. Provides annual clinical evaluations of the nurse practitioner(s) and/or physician assistant(s) and the office manager.   • Medical Services We do not Cover medical services or dental services that are medical in nature, including any Hospital charges or prescription drug charges.

  • Educational Services Any service or supply for education, training or retraining services or testing including: special education, remedial education; cognitive remediation; wilderness/outdoor treatment, therapy or adventure programs (whether or not the program is part of a Residential Treatment facility or otherwise licensed institution); job training or job hardening programs; educational services and schooling or any such related or similar program including therapeutic programs within a school setting.

  • Surgery Services This plan covers surgery services to treat a disease or injury when: • the operation is not experimental or investigational, or cosmetic in nature; • the operation is being performed at the appropriate place of service; and • the physician is licensed to perform the surgery. This plan covers reconstructive surgery and procedures when the services are performed to relieve pain, or to correct or improve bodily function that is impaired as a result of: • a birth defect; • an accidental injury; • a disease; or • a previous covered surgical procedure. Functional indications for surgical correction do not include psychological, psychiatric or emotional reasons. This plan covers the procedures listed below to treat functional impairments. • abdominal wall surgery including panniculectomy (other than an abdominoplasty); • blepharoplasty and ptosis repair; • gastric bypass or gastric banding; • nasal reconstruction and septorhinoplasty; • orthognathic surgery including mandibular and maxillary osteotomy; • reduction mammoplasty; • removal of breast implants; • removal or treatment of proliferative vascular lesions and hemangiomas; • treatment of varicose veins; or • gynecomastia.

  • Professional Service Consultant agrees that all services and work performed under this agreement will be accomplished in a professional manner, in accordance with the accepted standards of Contractor’s profession.

  • Technical Services Party B will provide technical services and training to Party A, taking advantage of Party B’s advanced network, website and multimedia technologies to improve Party A’s system integration. Such technical services shall include: (a) administering, managing and maintaining Party A’s information application system and website system infrastructure; (b) providing system optimization plans and implementing optimization features; (c) assuring the security and reliability of the website application systems; (d) procuring, installing and supporting the relevant products produced by Party B, and providing training in the use of those products; (e) managing and maintaining all network and providing technologies to assure the reliability and efficiency thereof; (f) providing information technology services and assuring the reliable operation of the information infrastructure.
