Common use of Progress Review Clause in Contracts

Progress Review. 3.3.1 The Parties shall diligently use their reasonable endeavours to achieve satisfaction of their respective Conditions Precedent and shall cooperate in good faith with the other Party towards the satisfaction of its Conditions Precedent. 3.3.2 The Parties shall jointly review the progress towards achieving satisfaction of the Conditions Precedent on a [monthly] basis or whenever necessary and shall notify each other promptly of each event which may delay the Conditions Precedent to be satisfied by the Target CP Satisfaction Date. The Seller shall promptly, upon the satisfaction of the Conditions Precedent set out in [Part A] of Schedule 9 -, give the Purchaser written notice that such Conditions Precedent have been satisfied and the Purchaser shall promptly, upon the satisfaction of the Conditions Precedent set out in [Part B] of Schedule 9 -, give the Seller written notice that such Conditions Precedent have been satisfied.
