Prohibited Actions on the Trading Platform. 2.1 The Client shall not unlawfully access or attempt to gain access, reverse engineer or otherwise circumvent any security measures that the Company has applied to the Trading Platform.

Prohibited Actions on the Trading Platform. 2.1 It is understood that the internet connectivity delays and price feed errors sometimes create a situation where the prices displayed on trading platform do not actually reflect the market rates, as a result of connectivity delays, upon the occurrence of a market event or an abnormal trading conditions. However the trading strategies aimed at exploiting errors in prices and or concluding trades at off-market prices, or taking advantage of these internet delays are not permissible on the trading platform. Furthermore if the Company reasonably suspects that the Client, based on his trading strategy or other behavior, deliberately and or analytically exploited or attempted to exploit such errors in prices and or off-market prices, the Company is entitled to take one or more of the following counter measures:

  • Limitation on Out-of-State Litigation - Texas Business and Commerce Code § 272 This is a requirement of the TIPS Contract and is non-negotiable. Texas Business and Commerce Code § 272 prohibits a construction contract, or an agreement collateral to or affecting the construction contract, from containing a provision making the contract or agreement, or any conflict arising under the contract or agreement, subject to another state’s law, litigation in the courts of another state, or arbitration in another state. If included in Texas construction contracts, such provisions are voidable by a party obligated by the contract or agreement to perform the work. By submission of this proposal, Vendor acknowledges this law and if Vendor enters into a construction contract with a Texas TIPS Member under this procurement, Vendor certifies compliance.
