Project Executives. Each Party shall designate an individual (for Symetra, the “Symetra Project Executive”, and for ACS, the “ACS Project Executive”), who shall be each Party’s primary point of contact for all matters relating to this Agreement throughout the Term. The ACS Project Executive shall be: (a) knowledgeable about the Services and each of ACS’ and its Subcontractors’ products and services; (b) experienced at running information technology systems and networks of a size and scope minimally equal in size and scope to those of Symetra; (c) otherwise acceptable to Symetra; and (d) assigned (in the case of each ACS Project Executive) to Symetra for a minimum period of twenty-four (24) months, except in cases involving: (i) a voluntary or For Cause termination; (ii) removal at Symetra’s request; or (iii) inability to work due to death, disability or illness. Without limiting any other rights and remedies that may then be available to Symetra, if ACS fails to comply with the terms of the foregoing subsection (d), ACS represents to Symetra that Symetra shall have the right to communicate dissatisfaction and impact to ACS senior operations personnel through the customer satisfaction survey process. Symetra shall have the right to pre-approve any candidate proposed by ACS to serve as the ACS Project Executive, and to require ACS to remove and replace any previously appointed ACS Project Executive, and ACS promptly shall comply with any such Symetra request. The ACS Project Executive shall have overall responsibility for directing all of ACS’ activities hereunder and shall be vested by ACS with all necessary authority to act for ACS in connection with all aspects of this Agreement. ACS and Subcontractor staff shall be managed in the performance of their duties by the ACS Project Executive. Upon ACS’ request, Symetra will provide a written evaluation of the ACS Project Executive’s performance that ACS may elect to consider when determining the ACS Project Executive’s salary and bonus compensation.
Project Executives. On or before each applicable Service Commencement Date, and from time to time thereafter during the Term, Customer and (subject to Section 7.1 (Key ACS Positions)) ACS will each designate an individual as its project executive (the “Project Executive”). A Party’s Project Executive will be authorized to act as the primary contact for such Party with respect to all matters relating to the applicable Statement of Work. Each Party will ensure that its respective Project Executive has the authority necessary to allow such Project Executive to make prompt decisions with respect to such Statement of Work and this Agreement.
Project Executives. All disputes shall initially be referred jointly to the Genco Project Executive and the Streamline Project Executive. If the Project Executives are unable to resolve the dispute within 10 business days after referral of the matter to them, the parties shall submit the dispute to senior management of Genco and Streamline for resolution.
Project Executives. On or before each applicable Service Commencement Date, and from time to time thereafter during the SOW Term, Xxxxxxx and Cognizant (subject to Section 6.1 (Key Cognizant Positions)) will each designate a Project Executive. A Party’s Project Executive will be authorized to act as the primary contact for such Party with respect to all ordinary course matters relating to the applicable Statement of Work. Each Party will ensure that its respective Project Executive has the authority necessary to allow such Project Executive to make prompt decisions with respect to ordinary course matters in connection with such Statement of Work and the Agreement.
Project Executives. (a) The Project Executives for each of Customer and Service Provider shall be the personnel identified in Schedule L (the “Project Executive”). Service Provider’s Project Executive shall be interviewed and approved (such approval not to be unreasonably withheld) by Customer prior to commencing their tasks under this Agreement.
(b) During the employment of the Project Executive with Service Provider, Service Provider shall cause Project Executive to provide Services under this Agreement to Customer for the earlier of (i) eighteen (18) months from the date of the Project Executive’s employment to provide Services under this Agreement, or (ii) the termination or expiration of this Agreement, unless the Agreement terminates earlier or the person earlier resigns from employment; is dismissed from employment with the Service Provider in any capacity; fails to perform his obligations; or is unable to work. Before assigning an individual to a Project Executive position, whether as an initial assignment or a subsequent assignment, Service Provider shall notify Customer of the proposed assignment, shall introduce the individual to Customer’s Project Executive, and shall, to the extent permissible under applicable law, provide Customer with a resume and other information (excluding the individual’s personnel file) about the individual reasonably requested by Customer. If Customer objects to the proposed assignment within ten (10) working days after being notified thereof, then Service Provider agrees to discuss such objections with Customer and attempt to resolve such concerns on a mutually agreeable basis. If the parties have not been able to resolve Customer’s concerns within five (5) additional working days, Service Provider shall not assign the individual to that position and shall propose to Customer the assignment of another individual of suitable ability and qualifications.
(c) Service Provider shall not permit Service Provider Project Executive to provide services that are reasonably similar to the Services being provided by Service Provider to Customer under this Agreement for the benefit of any Competitor, during the Term and for a period of no less than one (1) year following the termination or expiration of this Agreement, assuming Service Provider Project Executive continues to be employed by Service Provider during such period. Project Executives. A dispute under this Agreement initially will be referred in writing to the Project Executives.
Project Executives a) Prior to the Commencement Date, ISSC and Flagstar will each designate a Project Executive to whom all the appointing Party's communications may be addressed and who has the authority to act for the appointing Party and its subcontractors in connection with all aspects of this Agreement.
b) ISSC shall cause the person assigned as the ISSC Project Executive to devote his or her working time and effort in the employ of ISSC primarily to his or her responsibilities for the provision of the Services under this Agreement, subject to ISSC's reasonable holiday, vacation and medical leave policies and subject to occasional, short-term, non-recurring work on other assignments by ISSC related to the Project Executive's areas of expertise. Before the initial or subsequent assignment of an individual to such position, ISSC shall notify Flagstar of the proposed assignment, introduce the individual to appropriate Flagstar representatives, and consistent with ISSC's personnel practices, provide Flagstar with a resume and any other information about the individual reasonably requested by Flagstar. ISSC agrees to discuss with Flagstar any objections Flagstar may have to such assignment and the Parties will resolve such concerns on a mutually agreed basis.
c) ISSC will give Flagstar at least ninety (90) days advance notice of a change of the person appointed as the ISSC Project Executive, will discuss with Flagstar any objections Flagstar may have to such change and the Parties will resolve such concerns on a mutually agreed basis.
