(iii) a true, complete and up-to-date copy of the power of attorney issued by the Project Owner authorising a specific person or persons, on its behalf, to sign and/or dispatch the Amendment Documents (or, if applicable, the CP Amendment Documents only) to which it is a party and all documents and notices to be signed and/or dispatched by it under or in connection with the Amendment Documents (or, if applicable, the CP Amendment Documents only) to which it is a party. (b) A copy of incumbency and authorisation or similar certificate of the Project Owner which shall include, inter alia, a specimen of the signature of each person authorised by the resolution referred to in paragraph 2(a)(ii) above. Project Owner. “Project Owner” means the entity or entities holding legal title or otherwise having full rights of ownership in and to the Project, as such entities may change from time to time. If the Project Owner and the Subscriber Organization are not the same Person, then the Subscriber Organization represents and warrants that it has obtained all necessary rights and consents from the Project Owner to enter into this Agreement and the Interconnection Agreement and to convey the Solar Energy Output to the Company.
