Project Works. The Grant Recipient agrees with the Authority that: it shall not carry out any Project Activities without having obtained all necessary Consents for such activities and in particular shall not carry out any Works constituting development for which planning permission is required under the Town and Country Planning Act 1990 without having obtained detailed planning consent for such Works, and shall if requested by the Authority produce to it such documents or copy documents as the Authority may require to demonstrate satisfaction of its obligations under this condition; it shall at all times comply with all Consents including the relevant planning Consent; any Works will be carried out in a good and workmanlike manner; it shall prior to the submission of any planning application, submit a copy to the Authority for approval; it shall permit the Authority and its authorised representatives to attend any meetings including any meetings with the Grant Recipient’s building contractor; it shall permit the Authority and its authorised representatives to visit any Property Asset upon reasonable notice to view the Works throughout the Funding Period; [it shall use all reasonable endeavours to ensure that the construction and operation of the Property Asset reflects the overall principles of Sustainable Development]; [It shall ensure that the Works comply with Building Research Establishment Environmental Assessment Method requirements by undertaking a Design and Procurement assessment and a post construction review. Each assessment shall achieve as a minimum a “very good” standard and the Grant Recipient will keep the Authority fully informed as to the progress of the procedure. The Grant Recipient shall supply the Authority with certified copies of the relevant Building Research Establishment Environmental Assessment Method Certificate as soon as it is received by the Grant Recipient and in any event within six months of completion of the Works]. [Delete if no Works are anticipated] Charging of any Asset The Grant Recipient must not create any charge, legal mortgage, debenture or lien over any Asset without the prior written consent of the Authority.
Project Works. 22 Subject to the terms and conditions of this and other applicable contracts related specifically to 23 this Project, the United States has constructed the Project Works and Appurtenant Facilities, 24 acquired lands, and provided certain moveable property and equipment to the Project Operator 25 needed to carry out OM&R activities and responsibilities as necessary for Project purposes.
(a) The Project Works are presently identified as the following:
27 (1) Ridges Basin Dam and Lake Nighthorse are located on Basin Creek approximately 3 28 miles southwest of Durango, Colorado. The reservoir has a total storage capacity of 29 123,541 acre-feet.
30 (2) Durango Pumping Plant is located adjacent to the Animas River and which pumps 1 water from the Animas River for storage in Lake Nighthorse.
2 (3) Ridges Basin Inlet Conduit extends from the Durango Pumping Plant to Lake 3 Nighthorse.
4 (4) Operation and Maintenance Facilities have been constructed, as determined necessary 5 by the United States, for the required OM&R of Project Works.
Project Works. All the permits, authorizations and licenses; the planning, engineering, the supply of material and equipment, the CIVIL WORKS, the COLLECTION WORKS, the ELECTROMECHANICAL WORKS, the auxiliary facilities, the TESTS, the technical support and the other works and services of any nature, that shall be supplied or carried out by the DEVELOPER and which are within the scope specified in the APP for the termination of the SYSTEM, distinguishing from the works of each of the stages of the PROJECT.
Project Works. Subject to the terms and conditions of this and other applicable contracts related to this Project, the United States will construct the following Project Works and appurtenant facilities, acquire lands, and provide certain moveable property and equipment to the Project Operator needed for Project operation and maintenance as, in the opinion of the United States in consultation with the Project Operations Committee, are necessary for Project purposes, without being limited by enumeration and within the limit of funds available by the Congress and the contracting parties.
Project Works. The parties acknowledge and agree that Project Works are not subject to the formal Acceptance processes described below; however, Contractor agrees that Project Works will be provided in a professional and workmanlike manner in accordance with industry-standard practices. Contractor will work with Client regarding Client’s concerns that a particular Project Work has not been prepared in a professional and workmanlike manner in accordance with industry standards.
Project Works. 1. Preparation of the projects for the selected type of dam and auxiliary facilities (To enable both sides to build a hydroelectricity plant individually).
2. Drawing of the construction sites, service roads and worksite facilities.
3. Preparation of the work flows and work organization charts.
4. Construction cost of all the facilities and annual expenses.
5. Preparation of the report on the final project.
6. Preparation in Turkish and Russian of the final project in five copies each (One copy of each picture shall be prepared an original copy). REPUBLIC OF TURKEY MINISTRY OF FOREIGN AFFAIRS 108.081-DI/3-36 MEMORANDUM The Memoranda, dated 21 August, 14 December 1963 and 16 April 1964, submit- xxx by the Embassy of the Union of Soviet Socialist Republics in Ankara to the Republic of Turkey, Ministry of Foreign Affairs, in connection with the Arpacay Dam have been carefully reviewed by the authorized Turkish authorities. The views and proposals of the concerned Turkish authorities in respect to the Soviet proposals addressed in the said memoranda are explained below:
1. The Turkish officials were very pleased to learn that the concerned Soviet officials have granted permission to take photographs in connection with the construction of Arpacay dam in Turkish territory from Lake Cildir up to the Iranian border along the Turkish –Soviet border within a belt of 30 km through photogrammetry at an altitude of 600 meters, via Turkish aircraft with Turkish and Soviet experts on board. As stated in the memorandum of the Embassy of the Union of the Soviet Socialist Republics, dated 16 April 1964, the Turkish and Soviet experts shall examine the aircraft and the cameras prior to each flight, will board the aircraft, they shall examine the films after they have been taken and shall immediately destroy any films that contain views of the Soviet territory.
2. The Turkish delegation which has expressed its opinion in article 4 of the Protocol number 3 prepared by the Turkish-Soviet Joint Commission in Erivan on 4 July 1962, on the provisions of article 1 of the “Agreement between the Republic of Turkey and the Union of Soviet Socialist Republics on the Utiliza- tion of the Rivers, Streams Constituting the Border” dated 8 January 1927 have concluded that since these two rivers, namely Aras and Arpacay should be considered as one river along the Turkish-Soviet border, the party which did not get is share of water from Arpacay should be able to get form any point on River Ar...
Project Works. The Borrower must use its reasonable endeavours to ensure that the Project Works are completed in accordance with the Project Documents and Good Industry Practice.
Project Works. (a) The Company must use its best endeavours to ensure that:
(i) the Project Works are completed in accordance with the Project Documents and the appropriate industry standards;
(ii) the Actual Desalination Completion Date occurs by, or as soon as practicable after, the Scheduled Desalination Completion Date; and
(iii) the Actual STP Completion Date occurs by, or as soon as practicable after, the Scheduled STP Completion Date.
(b) The Company must not, without the prior written consent of the Facility Agent (acting on the advice of the Technical Adviser), agree to the issue of, or the deferral of the issue of, any certificate of acceptance or completion (or similar document) under the Construction Contract.
(c) The Company shall not terminate the appointment of any Construction Contractor unless a replacement Construction Contractor has been appointed whose identity and terms of appointment are acceptable to the Finance Parties.
Project Works. (a) The Borrower must ensure that:
(i) the Project Works are performed and completed in accordance with the Project Documents, Applicable Law, all Transaction Authorisations and the appropriate industry standards; and
(ii) the Commercial Operation Date occurs by no later than the Longstop Date.
(b) Without derogating from the generality of Clause 18.24 (Reserved Discretions) below, the Borrower:
(i) must not, without the prior consent of the Senior Agent, agree to the issue of, or the deferral of the issue of, any “Final Acceptance Certificate”, “Final Payment Certificate”, “Taking-Over Certificate”, “Actual Project Acceptance Certificate” (or similar document) under the EPC Contract.
(ii) must not implement or agree to any extra Project Works without the prior written approval of the Senior Agent (acting in consultation with the Technical Adviser); or
(iii) may not initiate or approve a Variation (as defined in the EPC Contract) without the prior written approval of the Senior Agent.
(c) The Borrower must not:
(i) claim, or agree to the grant of, any extension of time for completion of the Project in circumstances where any Transaction Document or Applicable Law provide for financial compensation for costs or lost revenues of the Borrower during the period of delay to such completion unless at the same time it claims or agrees to that financial compensation in the full amount to which it would be entitled; or
(ii) settle any arbitration or other dispute in relation to any such claim; in either case without the prior written consent of the Senior Agent.
(d) Confirmation by the EPC Contractor of an absence of any claims against the Borrower (the “EPC Confirmation”):
(i) As of the Commercial Operation Date, the Borrower shall provide the Senior Agent, from time to time, with an update on the process of obtaining the EPC Confirmation.
(ii) The Borrower shall use its best efforts to procure that by the date that is three (3) years from the Longstop Date, the EPC Contractor shall provide the Borrower with the EPC Confirmation.
(iii) If the costs of obtaining the EPC Confirmation do not exceed one million USD (USD 1,000,000), the Borrower, if so instructed by the Senior Agent, shall pay such costs and obtain the EPC Confirmation.
Project Works. (a) The Recipient shall promptly and efficiently procure the carrying out and completion of the Project and comply with all the accounting, payment, information and other requirements and obligations contained in this Agreement.
(b) Without limitation to the generality of clauses 2.1 to the Recipient shall, where relevant:
(i) procure the commencement of the Works (unless the same have already been commenced by the date of this Agreement) within 30 days from the date of this Agreement and procure Practical Completion of the same by the Completion Date;
(ii) procure that all the Project Outputs are achieved by the Completion Date; and
(c) Where relevant, the Recipient shall notify the Authority in writing within 30 days of Practical Completion of the Works.
