Property in Trust. Borrower, in consideration of the indebtedness herein recited and the trust herein created, hereby grants and conveys to Trustee in trust, with power of sale, the following legally described property located in the City and County of Denver, State of Colorado: See Exhibit A. Known as No. 4200 – 4000 Xxxxxx Xx., Xxxxxx, XX 00000, Sxxxxx Xxxxxxx Xxxx Xxxxx Xxx Xxxxxxxx with all its appurtenances (Property).
Property in Trust. Notwithstanding anything contained in this Scheme, on or after Effective Date, until any property, asset, Permit, contract and rights and benefits arising therefrom pertaining to the Demerged Undertaking are transferred, vested, recorded, effected and/ or perfected, in the records of any Appropriate Authority, regulatory bodies or otherwise, in favour of the Resulting Company, the Resulting Company is deemed to be authorized to enjoy the property, asset, Permit, contract or the rights and benefits arising therefrom as if it were the owner of the property or asset or as if it were the original party to the Permit or contract. It is clarified that till entry is made in the records of the Appropriate Authorities and till such time as may be mutually agreed between the Parties, the Demerged Company will continue to hold the asset, property, Permit, contract and/or rights and benefits arising therefrom, as the case may be, in trust for and on behalf of the Resulting Company.
Property in Trust. Borrower, in consideration of the indebtedness herein recited and the trust herein created, hereby grants and conveys to Trustee in trust, with power of sale, the following described property located in the County of Teller, State of Colorado: Lots 1 through 15, Block 26, Fremont, (now Cripple Creek), Colorado, together with all improvements and appurtenances (Property).
Property in Trust. Borrower, in consideration of the indebtedness herein recited and the trust herein created, hereby grants and conveys to Trustee in trust, with power of sale, the following legally described property located in the County of El Paso, State of Colorado: SEE EXHIBIT A ATTACHED HERETO AND BY REFERENCE MADE A PART HEREOF together with all its appurtenances (Property).
Property in Trust. 16.1 Notwithstanding anything contained in this Scheme, on or after the Effective Date, until any property, asset, license, approval, permission, contract, agreement and rights and benefits arising therefrom pertaining to the Demerged Undertaking, as the case may be, are transferred, vested, recorded, effected and/ or perfected, in the records of any Appropriate Authority, regulatory bodies or otherwise, in favour of TAISPL, as the case may be, such Resulting Companies are deemed to be authorized to enjoy the property, asset or the rights and benefits arising from the license, approval, permission, contract or agreement as if it were the owner of the property or asset or as if it were the original party to the license, approval, permission, contract or agreement. It is clarified that till entry is made in the records of the Appropriate Authorities and till such time as may be mutually agreed by the relevant Parties, the Demerged Company will continue to hold the property and/or the asset, license, permission, approval, contract or agreement and rights and benefits arising therefrom, as the case may be, in trust for and on behalf of TAISPL, as the case may be.
Property in Trust. (a) Initial Deposit in Trust. Concurrently with the execution of this Agreement, the Settlor is delivering to the Trustee, on behalf of the Trust, $6,500,000 (in immediately available funds), stock certificate evidencing 96,000 shares of Common Stock of the Settlor and a promissory note of the Settlor in the stated principal amount of $1,500,000 (collectively, the "Initial Trust Estate"). The Trustee acknowledges receipt of the Initial Trust Estate. Promptly following the execution of this Agreement, Michel, acting in his individual capacity, shall deliver all outstanding shares of the Ohio PC to the Trustee, acting on behalf of the Trust, pursuant to the terms and conditions of the PC Purchse Agreement. The Initial Trust Estate, Ohio PC shares and all other property of any kind that becomes a part of the Trust in accordance with this Agreement and the PC Purchase Agreement for the primary benefit of the Settlor.
Property in Trust. (a) Initial Deposit in Trust. Concurrently with the execution of this Agreement, the Settlor is delivering to the Trustee, on behalf of the Trust, One Thousand Dollars ($1,000) (the "Initial Trust Estate"). The Trustee acknowledges receipt of the Initial Trust Estate. The Trustee agrees that it will hold, manage, and distribute the Initial Trust Estate and all other property of any kind that becomes a part of the Trust in accordance with this Agreement for the primary benefit of the Settlor. Settlor hereby directs the Trustee to organize and become the member of a limited liability company to be named "AmeriPath Indianapolis, LLC."

The Trustee acknowledges receipt of the Initial Trust Estate. The Trustee agrees that it will hold, manage and distribute the Initial Trust Estate, Cincinnati PC shares and all other property of any kind that becomes a part of the Trust in accordance with this Agreement and the PC Purchase Agreement for the primary benefit of the Settlor.
