Common use of Proprietary Information and Ownership Clause in Contracts

Proprietary Information and Ownership. The Charter School acknowledges that the Company owns the intellectual property rights and interests in the Xxxxxxxxx Curriculum, as defined in this Agreement, and the Xxxxxxxxx Lesson Materials licensed to the Charter School during the term of this Agreement and to the names "Xxxxxxxxx Education" and Xxxxxxxxx (such names being registered marks of Xxxxxxxxx Education). The Charter School acknowledges and agrees that it has no intellectual or property interest or claims in the Xxxxxxxxx Curriculum, the Xxxxxxxxx Lesson Materials or such names and has no right to use the Xxxxxxxxx Curriculum, the Xxxxxxxxx Lesson Materials, or such names unless expressly agreed to in writing by Xxxxxxxxx. The Company shall have the right, consistent with the facility lease, to install signs on the Charter School facilities, including under the name of the Charter School, describing the services provided by the Company including “Managed by Xxxxxxxxx Education” or “Educational Services Provided by Xxxxxxxxx Education.” Upon any expiration or termination of this Agreement, those signs shall be promptly removed.
