Prorated Target Bonus Severance. Executive will receive a lump sum cash payment equal to Executive’s annualized target bonus in effect for the year in which the Qualifying Termination occurs, provided that such amount will be prorated based on a fraction, the numerator of which is the number of days during which Executive was employed with the Company (or its successor) in the year that the Qualifying Termination occurs, and the denominator of which is the total number of days in such year (the “Prorated Bonus Severance”).
