Protected Parties. 12.1 Any of the protected parties may enforce the terms of any provision of this Contract which purports to confer any rights on them, subject to and in accordance with the Contracts (Rights of Third Parties) Xxx 0000. 12.2 The Builder and the Buyer may at any time, by agreement between them, rescind this Contract or vary it without the consent of the protected parties. 12.3 If any protected party becomes entitled to bring a claim against the Builder under or in respect of this Contract, the Buyer shall bring such claim against the Builder on behalf of the relevant protected party. 12.4 If any claim is made against the Builder by the Buyer on behalf of a protected party under Clause 12.3, the Builder shall only have available to it by way of defence any matter that would have been available to it by way of defence if the relevant protected party had been a party to this Contract. 12.5 Save as provided above the operation of the Contracts (Rights of Third Parties) Xxx 0000 is hereby excluded.

For the avoidance of doubt, this means that in respect of any claim by the Buyer on behalf of a protected party the Builder shall be entitled to raise any defence that the Builder would have been entitled to raise if the relevant claim had been brought by the Buyer for itself. 12.5 Save as provided above the operation of the Contracts (Rights of Third Parties) Act 0000 xx hereby excluded.

Protected Parties. American Centurion Life agrees that if it comes into possession of any list or compilation of the identities of or other information about the AVIF Protected Parties' customers or any other information or property of the AVIF Protected Parties, other than such information as may be independently developed or compiled by American Centurion Life from information supplied to it by the AVIF Protected Parties' customers who also maintain accounts directly with American Centurion Life, American Centurion Life will hold such information or property in confidence and refrain from using, disclosing or distributing any of such information or other property except: (a) with AVIF's prior written consent; or (b) as required by law or judicial process. Each party acknowledges that any breach of the agreements in this Section 18 would result in immediate and irreparable harm to the other parties for which there would be no adequate remedy at law and agree that in the event of such a breach, the other parties will be entitled to equitable relief by way of temporary and permanent injunctions, as well as such other relief as any court of competent jurisdiction deems appropriate.

Protected Parties. Protected Parties shall mean the following: a) Chattem Released Parties; b) suppliers of the raw material phenylpropanolamine used in the manufacture of Dexatrim Products (other than Alps Pharmaceuticals Ind. Co. Ltd and Sidmak); c) suppliers of materials other than phenylpropanolamine, machines or equipment used in the manufacture of Dexatrim Products; d) Chattem's contract manufacturers of finished Dexatrim Products (other than Alps Pharmaceuticals Ind. Co. Ltd. and Sidmak); e) any and all distributors of Dexatrim Products, including, without limitation, wholesale distributors, private label distributors, retail distributors, pharmacies and pharmacists; f) any other Person (specifically including the Consumer Healthcare Products Association and its predecessors ("CHPA") but excluding Alps Pharmaceuticals Ind. Co. Ltd and Sidmak) involved in the development, design, manufacture, formulation, testing, distribution, marketing, labeling, regulatory submissions, advertising or sale of Dexatrim Products (including, without limitation, consultants to Delaco or Chattem); and g) for each entity identified above, all of its past, present and future direct or indirect parent companies, subsidiaries, affiliates, divisions, joint venturers, predecessors, successors and assigns and, collectively, all of their past, present and future directors, officers, employees, agents, attorneys, shareholders, underwriters and insurers, and for each person identified above, all of his, her, or their respective past, present or future heirs, estates and personal representatives.
