Provider Employee Obligation. Provider shall require all of Provider’s employees and agents who have access to Student Data to comply with all applicable provisions of this DPA with respect to the Student Data shared under the Service Agreement. Provider agrees to require and maintain an appropriate confidentiality agreement from each employee or agent with access to Student Data pursuant to the Service Agreement.
Provider Employee Obligation. Section 3 (Provider Employee Obligation) of Article IV (Duties of Provider) is hereby amended by deleting (i) “and agents” from the first sentence and (ii) “or agent” from the second and last sentence.

Provider agrees to require and maintain an appropriate confidentiality agreement from each employee or agent with access to Student Data pursuant to the Service Agreement.
Provider Employee Obligation. Contractor shall require all employees and agents who have access to Data to comply with all applicable provisions of this DPA with respect to the data shared under the Service Agreement. Contractor agrees to require and maintain an appropriate confidentiality agreement or be subject to comparable provisions no less restrictive than the ones hereof, from each employee or agent with access to Data pursuant to the Service Agreement.

Provider shall require all of Provider’s employees and individual agents who have access to Student Data to comply with all applicable provisions of this DPA with respect to the Student Data shared under the Service Agreement. Provider agrees to require and maintain an appropriate confidentiality agreement from each employee or individual agent with access to Student Data pursuant to the Service Agreement.
8. The penultimate sentence of Section IV.5 of the Standard Clauses is hereby amended to read as follows: Except for Subprocessors, Provider agrees not to transfer de-identified Student Data to any party unless
(a) the de-identified Student Data is either aggregated with other similar data such that the sources of such data cannot feasibly be distinguished, or (b) that party agrees in writing not to attempt re-identification, and (b) prior written notice has been given to the LEA who has provided prior written consent for such transfer.
9. Section VII.8 of the Standard Clauses is hereby amended to read as follows:
