Provision of Material. 2.1 The Owner shall provide the Material to the Recipient. 2.2 If the Owner requires reimbursement of the out-of-pocket expenses of transportation of the Material to the Recipient, the Owner shall provide an invoice for those out-of-pocket expenses, and the Recipient shall pay that invoice within 30 days of receipt of the Materials.

Provision of Material. Within a reasonable period of time following the execution of this Agreement by the parties hereto, the PROVIDER shall provide to the RECIPIENT [the amount of the Original Materials as is specified on Schedule A] [MODIFY AS APPROPRIATE].

Provision of Material. TOHOKU shall provide to RECIPIENT “ZZZZZZ (name of research materials, quantity)” (hereinafter referred to as the “Material”) developed and owned by TOHOKU after signing this Agreement, and RECIPIENT SCIENTIST shall undertake the Research using the Material. The Material shall be provided at no cost, or with an optional transmittal fee solely to reimburse TOHOKU for its preparation and distribution costs.

Provision of Material. The Material Providing Party may provide the Material Receiving Party with Material in the quantities, and on the timing, required under the Research Plan. Any Material provided to a Material Receiving Party shall be accompanied by a Material Transfer Record substantially in the form of Exhibit L. Each such Material Transfer Record shall be signed by an authorized representative of the Material Providing Party, and then signed by an authorized representative of the Material Receiving Party, and then returned to the Material Providing Party.

Provision of Material. JAXA shall provide to the RECIPIENT all biospecimens listed in the table below (hereinafter referred to as the “Material”) developed and owned by JAXA after signing this Agreement, and the RECIPIENT SCIENTIST shall undertake the Research using the Material. Provision of Material. 1. Material provided by the Customer remains the property of the Customer and is to be stored separately from the Customer’s other property by the Supplier free of charge and with the due care and diligence of a prudent businessperson and marked as property of the Customer. It may only be used to carry out the orders of the Customer. Damage to material provided is to be replaced by the Sup- plier insofar as the Supplier is responsible for this. 2. If the Supplier processes or reworks the material provided, the Supplier carries out this work for the Customer. The latter becomes the direct owner of the new items thus produced. If the material provided only represents part of the new items, the Customer is enti- tled to joint ownership of the new items proportionate to the value of the provided material contained therein.

Provision of Material. Recipient acknowledges that the Material is experimental in nature and that it is provided “AS IS.” EXCEPT AS PROVIDED IN SECTION 8 BELOW OR IN CLAUSE 27 OF THE COLLABORATION AND LICENCE AGREEMENT, TRANSFEROR MAKES NO REPRESENTATIONS OR WARRANTIES WITH RESPECT TO THE MATERIAL OR THE USE OF THE MATERIAL, AND TRANSFEROR DISCLAIMS ALL SUCH WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT.

Provision of Material. 2.1 The Administering Institute will provide the Material to the Recipient and may also disclose Confidential Information to the Recipient. 2.2 The Recipient agrees to abide by all State and Federal legislation as it relates to but not only collection, storage, transport, use and disposal of the Material.
