Provisional Credits. Subject to the terms and conditions of the Merchant Agreement, Xxxx agrees to provisionally credit Merchant for each Transaction that Bank accepts from Merchant. Xxxxxxxx agrees that Bank may charge or debit the Settlement Account for the amount of any Transaction processed under the Merchant Agreement, or any agreement Bank may have with any Merchant Affiliate, that results in a Chargeback, or for any Credit Transaction Receipt or other reimbursement or Processing Fees or other Merchant obligation to which Bank may be entitled under the Merchant Agreement.
Provisional Credits. All credits to CUSTOMER's Settlement Account or other payments to CUSTOMER are provisional and are subject to, among other things, PROCESSOR’s final audit, Chargebacks (including PROCESSOR’s related losses), fees, and fines imposed by NACHA or any other third party arising out of transactions initiated by CUSTOMER. CUSTOMER agrees that PROCESSOR may debit or credit CUSTOMER's Settlement Account for any deficiencies, overages, fees, and pending Chargebacks, or may deduct such amounts from settlement funds due to CUSTOMER. Alternatively, PROCESSOR may elect to invoice CUSTOMER for any such amounts, net due 30 days after the invoice date or on such earlier date as may be specified.
Provisional Credits. Subject to the terms and conditions of the Merchant Agreement, Processor and Member Bank agree to provisionally credit Merchant for each Transaction that Processor accepts from Merchant. Merchant acknowledges that Processor and Member Bank may reverse or revoke such credit, including in response to any Chargeback. Furthermore, Merchant agrees that Processor and Member Bank may charge or debit the Settlement Account for the amount of any Transaction processed under the Merchant Agreement, or any agreement Processor or Member Bank may have with any Merchant Affiliate, that results in a Chargeback, or for any Credit Transaction Receipt or other reimbursement or Processing Fees or other Merchant obligation to which Processor or Member Bank may be entitled under the Merchant Agreement.
Provisional Credits. Any provisional credit to an Account based on a deposit slip is subject to change, and Royal Bank may debit or credit the Account, to the extent necessary based on Royal Bank’s actual count or determination of the contents of each bag. Any note, coin, or Instrument that requires conversion from one currency to another will be converted at the time it is counted by Royal Bank using the applicable currency conversion rate established for such purpose by Royal Bank, in its discretion, at that time. Any provisional credit to an Account will be changed, and Royal Bank may debit or credit the Account, to the extent necessary to reflect the amount of funds converted and to deduct any conversion fees.

Merchant acknowledges that Processor and Member Bank may reverse or revoke such credit, including in response to any Chargeback. Furthermore, Merchant agrees that Processor and Member Bank may charge or debit the Settlement Account for the amount of any Transaction processed under the Merchant Agreement, or any agreement Processor or Member Bank may have with any Merchant Affiliate, that results in a Chargeback, or for any Credit Transaction Receipt or other reimbursement or Processing Fees or other Merchant obligation to which Processor or Member Bank may be entitled under the Merchant Agreement. Xxxxxxxx agrees that Processor and Member Bank may charge or debit the Settlement Account, withhold funds from the proceeds of any Transaction, or establish a Reserve Account (defined below), in order to recoup any amounts owed by Merchant or its Affiliates to Processor, Processor’s Affiliates or Member Bank under this Merchant Agreement or any other agreement between Merchant or its Affiliates and Processor, Processor’s Affiliates or Member Bank.
Provisional Credits. For purposes of this subsection, an “item” is a transaction intended to credit (add) funds to your Account, whether as the result of a deposit in the form of a check, draft, electronic item, ACH transaction, wire transfer or another funds transfer or payment instruction. All items are credited to your Account on a provisional basis that may be revoked if payment of the item is not received and/or settlement is not finalized. You agree that for any item not paid, returned unpaid, that we believe will be returned unpaid, or is returned pursuant to any applicable operating or clearinghouse rules, we may charge back the item against your Account without regard to whether such item was returned within any applicable deadlines. At our option and without notice that an item has been returned, we may resubmit any returned item for payment. You waive notice of nonpayment, dishonor, and protest regarding any items credited to or charged against your Account. You further agree that regardless of any final settlement, if an item that is deposited to your Account is unpaid, dishonored, or returned to us based upon a breach of warranty claim or any other reason, we may deduct the amount of the item from your Account, or place a hold on your Account for the amount of the item until liability for the item is determined. If we deduct the amount of the item from your Account, the party (business or consumer) that unsuccessfully attempted to transfer funds to your Account will not be considered to have paid the amount of the item and you will be responsible for contacting that party to make alternative payment arrangements.
Provisional Credits. Sub-Merchant acknowledges that the Operating Rules make provisional any credit given for an Entry until the account specified in the Entry receives final settlement. If WorkWave does not receive final settlement, WorkWave is entitled to a refund from the credited party and the originator of the Entry will not be deemed to have paid such party.

Provisional Credits. You shall make payment of an Entry by the RDFI to the Receiver provisional until receipt by the RDFI of final settlement for such Entry You acknowledge and agree that if such settlement is not received, the RDFI shall be entitled to a refund from the Receiver of the amount credited and Third-Party Sender shall not be deemed to have paid the Receiver the amount of the Entry. Third-Party Sender agrees to provide notice of this Rule to the Originator.
Provisional Credits. Client understands and agrees that although Clearing Firm may credit or debit Client's Account on or about the settlement date with respect to a transaction executed by an Executing Broker, such credit is conditional and may be reversed upon the failure of the Executing Broker's delivery against payment or payment against delivery, as applicable.
