Common use of Proxies, Notices, Etc Clause in Contracts

Proxies, Notices, Etc. State Street shall promptly for- xxxx upon receipt to the Fund all forms of proxies and all notices of meetings and any other notices or announcements affecting or relating to the securities, including without limitation, notices relating to class action claims and bankruptcy claims, and upon receipt of Proper Instructions execute and deliver or cause its nominee to execute and deliver such proxies or other authorizations as may be required. State Street, its nominee or its agents or Subcustodian shall not vote upon any of the securities or execute any proxy to vote thereon or give any consent or take any other action with respect thereto (except as otherwise herein provided) unless ordered to do so by Proper Instructions. State Street shall require its agents and Subcustodians appointed pursuant to paragraph 6(C) hereof to forward any such announcements and notices to State Street upon receipt.
