PSC. New York State Public Service Commission or any successor agency thereto.

PSC. The parties hereto recognize and acknowledge that the name “Powerchip” and the letters, “PSC” and other trademarks or designations, and their equivalents in the Chinese language, is and shall at all times belong exclusively to the PSC Representative. So as not to give rise to a likelihood of confusion from the concurrent use thereof in connection with the sale of any products or the rendering of any services, PSC Representative shall have the right at any time, to require the parties hereto to cause the Company and/or the Operating Company to discontinue use of any reference to “Powership” or “PSC”, as appropriate, and other trademarks or designations or any name using the words “PSC” or “Powerchip”, as appropriate, or other confusingly similar trademark or designations and the Chinese language equivalents of any thereof.

PSC. PSC is a broker-dealer registered with the Securities and Exchange Commission ("SEC") and a member of the National Association of Securities Dealers ("NASD"). PSC also provides consulting services including rendering advice on matters related to corporate finance and other matters.

PSC. By no later than one (1) month after the Effective Date, the Recipient shall establish and thereafter maintain during the implementation of the Project a Project Steering Committee (PSC), with the composition, functions, staffing and resources satisfactory to the Association, and responsible for providing oversight and policy guidance to the Project. The PSC shall be chaired by a representative of MoED, comprised of representative of MoFP, SSEC, and observer representatives including, inter alia,ministry in charge of health, ministry in charge of education, JEDCO, selected state government representatives, UNICEF, UNHCR, Commission for Refugee Affairs (CRA), World Bank, and the Embassy of Japan.

PSC. The Borrower shall, not later than September 1, 1996, establish and thereafter maintain until completion of the Project a Project Steering Committee ("PSC") with membership and terms of reference satisfactory to the Association. The PSC shall be responsible for inter alia: (i) providing overall policy guidance to the PSU project manager; (ii) reviewing and approving the Project work plans and progress reports referred to in Part B (1) of this Schedule; (iii) liaising between the PSU and the LRMC, and recommending to the LRMC such changes in land management policies as may be required to ensure the successful implementation of the Project and achievement of its objectives; and (iv) coordinating between the various central and provincial governmental agencies involved in Project implementation.

PSC. As of the date hereof, the authorized capital stock of PSC consists of 1,000 shares of common stock, no par value. As of the date hereof, the issued and outstanding capital stock of PSC consists of 1,000 shares of common stock, and such shares are owned beneficially and of record by the PSC Shareholder as set forth in Schedule 5.2

PSC. Within three (3) months of the Effective Date, the Recipient shall set up the PSC at central level. The PSC shall be chaired by the state secretary of MRTT and shall comprise representatives from the Recipient’s Customs General Administration, Ministry of Foreign Affairs, Ministry of Health, MOF, MRTT, Ministry of Nature and Environment, Ministry of Social Welfare and Labor, and government of Hovd aimag. The PSC shall meet at least once in every six (6) months and review the progress of implementation and provide guidance, as necessary. ADB representative may attend the PSC meetings as an observer.

PSC. PSC is a Missouri corporation, having its principal place of business in Nixa, Missouri.
