PSC. By no later than one (1) month after the Effective Date, the Recipient shall establish and thereafter maintain during the implementation of the Project a Project Steering Committee (PSC), with the composition, functions, staffing and resources satisfactory to the Association, and responsible for providing oversight and policy guidance to the Project. The PSC shall be chaired by a representative of MoED, comprised of representative of MoFP, SSEC, and observer representatives including, inter alia,ministry in charge of health, ministry in charge of education, JEDCO, selected state government representatives, UNICEF, UNHCR, Commission for Refugee Affairs (CRA), World Bank, and the Embassy of Japan.
PSC. (a) Purchaser shall have primary responsibility for the preparation and filing of the regulatory filing to be made to the PSC requesting the PSC Approval (“PSC Regulatory Filing”). Upon the request of Purchaser, Seller shall use its commercially reasonable efforts to cooperate with Purchaser to prepare and file the PSC Regulatory Filing.
(b) The Parties shall use commercially reasonable efforts to file as soon as practicable after the date hereof (but in accordance with Section 4.02) the PSC Regulatory Filing, and execute all agreements and documents, in each case, to obtain as promptly as practicable the PSC Approval. The Parties shall act diligently, and shall coordinate in completing and submitting the PSC Regulatory Filing. Each Party shall have the right to review and approve (which such approval shall not be unreasonably conditioned, delayed or withheld) in advance all information relating to the transactions contemplated by this Agreement which appears in the PSC Regulatory Filing.
PSC. (i) has the full right and authority to grant the rights and licenses under this Agreement, and (ii) has the right and authority to use all Licensed Materials and all Licensed Know-How, subject to the disclosed license agreement between VetStem Biopharma and PSC and the license agreement between PSC and Calidi Biotherapeutics.
PSC. As of the date hereof, the authorized capital stock of PSC consists of 1,000 shares of common stock, no par value. As of the date hereof, the issued and outstanding capital stock of PSC consists of 1,000 shares of common stock, and such shares are owned beneficially and of record by the PSC Shareholder as set forth in Schedule 5.2
PSC. The PSC shall be co-chaired by the Under Secretaries of XxXXX and XxXXXX and comprised of representative of State Education Administration Bodies, Commission of Refugee Affairs (CRA), ministry in charge of Finance, UNHCR and the National Education Coalition (NEC).
PSC. PSC is a Missouri corporation, having its principal place of business in Nixa, Missouri.
PSC. PSC is a broker-dealer registered with the Securities and Exchange Commission ("SEC") and a member of the National Association of Securities Dealers ("NASD"). PSC also provides consulting services including rendering advice on matters related to corporate finance and other matters.
