The purchase of and payment for the Notes and Warrants shall not be prohibited by any applicable law or governmental regulation (including without limitation Regulations G, T and X of the Board of Governors of the Federal Reserve System) and shall not subject the holders of the Notes and Warrants to any tax, penalty or liability under any applicable law or governmental regulation.
