Purchaser Cooperation Clause Samples

Purchaser Cooperation. Purchaser shall, and shall cause any applicable Purchaser Affiliate to, take all commercially reasonable steps to inform Seller, and assist Seller or any of its Affiliates at the reasonable request of Seller in informing the Facility Employees, about the expected roles of the Facility Employees with the Purchaser or a Purchaser Affiliate, the terms and conditions of employment that are expected to apply to them and the employment transition process.
Purchaser Cooperation. The Purchaser agrees to cooperate with the Company as reasonably requested by the Company in connection with the preparation and filing of any amendments and supplements to any Registration Statement or New Registration Statement hereunder, unless the Purchaser has notified the Company in writing of its election to exclude all of its Registrable Securities from such Registration Statement.
Purchaser Cooperation. The Purchaser shall provide to the Vendors such cooperation and assistance as may be reasonably necessary or desirable, in the Purchaser’s reasonable opinion, in order for the Vendors to fully comply with their obligations in Section 7.13. In particular, the Purchaser shall have prepared and submitted to the Parks Canada Agency, with Vendors’ reasonable cooperation and assistance, the Letter of Undertaking (as defined in the Share Purchase Agreement).
Purchaser Cooperation. From and after the Closing Date for a period of not more than 90 days thereafter, Purchaser agrees, upon the request of Shareholder or Seller, to use commercially reasonable efforts to (i) assist Seller in the sale or liquidation of the Excluded Assets and the application of the proceeds thereof to repay Seller's warehouse lenders; and (ii) service any Mortgage Loans, owned by Seller, subject to the following: (a) Seller Group's rights under this Section 10.2 shall in no way affect or modify the parties' rights and obligations under Section 9 hereof; and (b) Seller Group shall reimburse Purchaser within ten (10) days after demand by Purchaser for all reasonable costs and out of pocket expenses incurred by Purchaser in connection with Purchaser's obligations under this Section 10.2.
Purchaser Cooperation. Following Closing and until June 1, --------------------- 2002, the Purchaser Parties shall, upon request, give the Seller Parties and their respective agents and contractors, access to Purchaser's books and records at Purchaser's offices for purposes of verifying collections and remittances required pursuant to this Agreement and for any other purpose relating to Seller's prior ownership of the Property, at reasonable times and upon reasonable advance notice to Purchaser. The Seller Parties shall keep all information obtained pursuant to this Section in confidence, except to the extent required to defend or prosecute any litigation arising out of or related to their prior ownership of the Property (including Protest Proceedings and the Reserved Claims) or for purposes of disclosure to investors or otherwise required by law.
Purchaser Cooperation. Purchaser shall cooperate with the Company in good faith to furnish such information and execute and deliver such agreements, certificates, instruments and other documents (collectively, the “Subscription Documents and Information”), in each case, as may be reasonably necessary or advisable in connection with the issuance of uncertificated Subscription Shares or as may be reasonably requested by the Company’s transfer agent or the Depository Trust Company.
Purchaser Cooperation. The Purchaser shall cooperate with any request of the Sellers and make available, at the Sellers’ sole cost and expense, all information (but excluding privileged communications) necessary for the Sellers to pursue any indemnification or reimbursement from a third party for any Losses in the event that the Sellers, in their sole discretion, decide to pursue such indemnification or reimbursement.
Purchaser Cooperation. Purchaser’s cooperation as to housekeeping, sanitation, maintenance, and accessibility of areas to be serviced (to include perimeter leaf and debris removal) are important to ensure the most effective results from Services. Whenever conditions are conducive to the breeding and harborage of pests covered by this Service Agreement are reported in writing by ▇▇▇▇▇ Pest Control & Wildlife Solutions to the purchaser, and are not corrected by purchaser, ▇▇▇▇▇ Pest Control & Wildlife Solutions cannot ensure effective Services. If purchaser fails to correct the conditions noted by ▇▇▇▇▇ Pest Control & Wildlife Solutions within a reasonable time period, all guarantees as to the effectiveness of the Services in this Agreement shall automatically terminate. Further, additional treatment in areas of such conditions that are not corrected as required shall be paid for by the purchaser at an additional charge.
Purchaser Cooperation. The Purchaser covenants and agrees that following the Closing, upon receipt of written notice from the Seller, it shall cooperate fully with the Seller at reasonable times in providing the Seller such information, except with respect to the Purchaser's operations from and after the Closing Date, as is reasonably required by the requesting party or its representatives for the preparation of tax returns and financial reports or in connection with the reasonable requirements of the Seller in the normal course of its business .
Purchaser Cooperation. Purchaser agrees to cooperate fully with Seller and Seller's intermediary, if applicable, in facilitating and accomplishing the 1031 exchange contemplated herein.
