Purchases by Groups. Each Purchaser represents, warrants and covenants that it is not acquiring the Shares as part of a group within the meaning of Section 13(d)(3) of the 1934 Act or otherwise purchasing with intent to control voting over the Company.
Purchases by Groups. The Seller represents, warrants, and covenants that it is not acquiring the Shares as part of a group within the meaning of Section 13(d)(3) of the Securities Exchange Act of 1934, as amended.
Purchases by Groups. The Investor represents, warrants, and covenants that it is not acquiring the Put Shares as part of a group within the meaning of Section 13(d)(3) of the 1934 Act.
Purchases by Groups. Purchaser represents, warrants and covenants that it is not acquiring the Securities as part of a group within the meaning of Section 13(d)(3) of the Exchange Act and Purchaser has not agreed to act with any other Purchaser for the purpose of acquiring, holding, voting or disposing of the Securities purchased hereunder for purposes of Section 13(d) under the Exchange Act, and Purchaser is acting independently with respect to its investment in the Securities.
Purchases by Groups. Medbox is not acquiring the Bio-Tech Shares as part of a group within the meaning of Section 13(d)(3) of the Exchange Act.
Purchases by Groups. Consultant represents and warrants that it is not acquiring the Warrant as part of a group within the meaning of Section 13(d)(3) of the 1934 Act.
Purchases by Groups. Purchaser understands that it is acquiring greater than 5% of the Company’s shares and that it will be required to file disclosure reports pursuant to Section 13 and Section 16 of the Rules of the 1934 Act. Purchaser is not otherwise purchasing with intent to control voting over the Company. Notwithstanding the foregoing, it is understood that any fund or entity purchaser may result in more than one person having beneficial ownership of the underlying securities. The Company shall cooperate with Purchaser in providing any information necessary to prepare and file the foregoing reports.
Purchases by Groups. Each Investor represents, warrants and covenants that it is not entering into this Agreement or acquiring the Warrant Amendment as part of a group within the meaning of Section 13(d)(3) of the Securities Exchange Act of 1934, as amended.
Purchases by Groups. C-I represents and warrants that it is not acquiring the Shares as part of a group within the meaning of Section 13(d)(3) of the 1934 Act.
Purchases by Groups. Each AdNet Shareholder represents, warrants and covenants that it is not entering into this Agreement or acquiring or holding the Broadband Shares as part of a group within the meaning of Section 13(d)(3) of the Securities Exchange Act of 1934, as amended.
