Common use of Quantity Certification Clause in Contracts

Quantity Certification. 4.1.1 The Delivered Quantity under the Contract shall be equal to the quantity stated in the Transportation Document. 4.1.2 Seller shall be entitled to a delivery tolerance of ten per cent (+/-10%) of the Nominated Quantity without any right for Buyer to claim that Seller did not meet the Nominated Quantity, and/or require Seller to take back any quantities in excess of the Nominated Quantity. 4.1.3 In case of the amount paid by the Buyer as the prepayment for the Goods exceeds the amount due to be paid for the Nominated Quantity the Parties shall mutually agree if (i) such difference between the amounts will be applied to the further deliveries if applicable or (ii) the Seller shall return such difference between the amounts within 5 (Five) days of an appropriate Verification Act is executed by the Parties.
