Quarterly Reporting Package. The Quarterly Reporting Package shall include, inter alia, the following: • Consolidated unaudited financial statements of Guarantor presented fairly in accordance with GAAP or, if such financial statements being delivered have been filed with the SEC pursuant to the requirements of the Exchange Act, or similar state securities laws, presented in accordance with applicable statutory and/or regulatory requirements and delivered to Buyer within the same time frame as are required to be filed in accordance with such applicable statutory or regulatory requirements, in either case accompanied by a Covenant Compliance Certificate, including a statement of operations and a statement of changes in cash flows for such quarter and statement of net assets as of the end of such quarter, and certified as being true and correct by a Covenant Compliance Certificate.

Quarterly Reporting Package. Within forty-five (45) days after the end of each fiscal quarter (excluding the fourth fiscal quarter) of each Fiscal Year (as part of the Quarterly Reporting Package), each certified by an Authorized Official of the Borrower: (i) for each such quarter that includes all or a portion of the Construction Period, the most recent monthly Project Progress Reports delivered by the Borrower to the Lender’s Engineer pursuant to Section 6.1(a)(i) hereof; (ii) for each such quarter that includes all or a portion of the Operating Period, a summary operating report, which shall include a detailed assessment of the Project’s performance in comparison with the Operating Forecast and Operating Plan then in effect for such period, including basic data relating to the operation of the Project, pricing information, unusual maintenance activity, material casualty losses, material disputes between the Borrower and any Person, and material non-compliance with any Governmental Approvals; and (iii) all other items indicated in this Section 6.1 as being part of the Quarterly Reporting Package, together with a completed Quarterly Reporting Certificate;
Quarterly Reporting Package. Within forty five (45) days after the end of each fiscal quarter of each Fiscal Year, each certified by an Officer’s Certificate of the Borrower: (a) for each fiscal quarter that includes all or a portion of the Construction Period: (i) a summary construction report, which shall include a detailed assessment of the Project’s performance in comparison with the Construction Budget and Project Milestone Schedule then in effect for such period, including (A) basic data relating to construction of the Project Facility, (B) a description and explanation of any Event of Loss, Actions or other material disputes between the Borrower and any Person and (C) any material non-compliance with any Required Approval then in effect and (ii) an updated Project Milestone Schedule and an updated Construction Budget, reflecting any Approved Construction Changes (or certification that no changes or updates are then required); (b) for each fiscal quarter that includes all or a portion of the Operating Period: (i) a summary operating report, which shall include a detailed assessment of the Project’s performance in comparison with the Project Plans then in effect for such period, including basic data relating to the operation of the Project, pricing information, unusual maintenance activity, material casualty losses, material disputes between the Borrower and any Person and material non-compliance with any Governmental Approvals, (ii) an updated Operating Plan for the next four fiscal quarters, an updated Operating Forecast for the next four fiscal quarters, and, if requested by DOE, updated Base Case Projections in form and substance satisfactory to DOE and (iii) upon the request of DOE, an Authorized Officer of the Borrower shall schedule a date to discuss any updated Operating Plan, updated Operating Forecast, updated Base Case Projections and such other matters relating to the Project as DOE reasonably requests; and (c) all other items indicated in Section 6.1.2 as being part of the Quarterly Reporting Package, together with a Quarterly Reporting Certificate;

Quarterly Reporting Package. The Quarterly Reporting Package shall include, inter alia, the following: • Consolidated unaudited financial statements of Guarantor and Seller presented fairly in all material respects in accordance with GAAP or, if such financial statements being delivered have been filed with the SEC pursuant to the requirements of the Exchange Act, or similar state securities laws, presented in accordance with applicable statutory and/or regulatory requirements and delivered to Buyer within the same time frame as are required to be filed in accordance with such applicable statutory or regulatory requirements, in either case accompanied by a certificate substantially in the form attached hereto as Exhibit XIV to this Agreement (the “Covenant Compliance Certificate”), from a Responsible Officer of Guarantor or Seller, as applicable, including a statement of operations and a statement of changes in cash flows for such quarter and statement of net assets as of the end of such quarter, and certified as being true and correct by a Covenant Compliance Certificate.

Quarterly Reporting Package. Within forty-five days after the end of each fiscal quarter (including the fourth fiscal quarter) of each Fiscal Year following the Initial Advance Date, each certified by an Authorized Official of the Borrower in a completed Quarterly Reporting Certificate: (i) if such fiscal quarter is prior to the Project Completion Date, an updated Financial Plan and a copy of the Construction Budget, as updated or supplemented by all Approved Construction Changes (or a confirmation from the Borrower certifying that no changes or updates are then required); (ii) if such fiscal quarter is prior to the Project Completion Date, a certification of an Authorized Official of the Borrower and the Independent Engineer that (i) the proceeds of all Advances to be made with respect to such fiscal quarter will be needed for Eligible Project Costs that have been or will be incurred, together with a description in reasonable detail of such Eligible Project Costs; and (ii) all Advances made with respect to the immediately preceding fiscal quarter have been applied as set forth in the prior certification with respect to such fiscal quarter, or as otherwise approved by the Loan Servicer (provided that failure to timely provide such certification by the Independent Engineer shall not constitute an Event of Default or Potential Default only if (x) the Borrower otherwise timely complied with the requirements in this Section 6.1(b) and promptly and satisfactorily responded to all questions or requests for additional information, clarification and other similar requests from the Independent Engineer, and (y) the Independent Engineer's failure to provide such certification is not due to its determination that the estimated proceeds amount needed for Eligible Project Costs and application of Advances are not certifiable); (iii) if such fiscal quarter is prior to the Project Completion Date, unaudited quarterly Financial Statements of the Sponsor prepared in accordance with GAAP certified by a Financial Officer of the Sponsor as having been prepared in accordance with GAAP (except for changes with which the Sponsor's Accountant concurs) on a consistent basis and as fairly presenting in all material respects the financial condition of the Sponsor as of the date thereof and the results of operations and cash flows of the Sponsor for the periods presented; (iv) if such fiscal quarter is prior to the Project Completion Date, a certification of the Borrower, that (x) all Required Insurance is in pl...

  • Quarterly Reporting If reporting is on a quarterly basis, the AGENCY shall submit to the Orange County Citizens’ Commission for Children a complete, accurate, and programmatic Quarterly Report, in a format as provided by the COUNTY, on or before the 10th of the month following the close of the quarter, as well as supporting documentation.   • Quarterly Sales Reports The Contractor shall submit a completed Quarterly Sales Report electronically, in the required format, to the Department’s Contract Manager within thirty (30) calendar days after close of each quarter.
