Ratification of Purchase Agreement. Except as expressly amended hereby, the Purchase Agreement remains unaltered and in full force and effect and is hereby ratified and confirmed.

Buyer and Seller hereby agree that except as expressly provided herein, the provisions of the Agreement shall be, and remain, in full force and effect (such Agreement being hereby ratified and confirmed by the parties hereto), and that if any provision of this First Amendment conflicts with the Agreement, then the provisions of this First Amendment shall prevail.

Ratification of Purchase Agreement. Except as expressly amended as set forth in this Amendment, the Purchase Agreement remains unmodified and is hereby ratified and confirmed in all respects. The execution, delivery and effectiveness of this Amendment shall not operate as a waiver of any right, power, or remedy of Purchaser, the Shareholder or Fireline under the Purchase Agreement.
