Reaffirmation of Performance Undertaking. JohnsonDiversey, Inc. (i) reaffirms all of its obligations under the Performance Undertakings, (ii) acknowledges that the Agent, as a party to the Receivables Purchase Agreement, enjoys the benefits of each Performance Undertaking, and (iii) acknowledges and agrees that each Performance Undertaking remains in full force and effect (including, without limitation, after giving effect to this Amendment).
Reaffirmation of Performance Undertaking. By its signature below, the Performance Guarantor hereby acknowledges receipt of a copy of this Amendment and hereby confirms that after giving effect hereto, the Performance Undertaking remains in full force and effect.
Reaffirmation of Performance Undertaking. JohnsonDiversey, Inc., by execution hereof, hereby reaffirms all of its obligations under the Performance Undertaking, dated as of March 2, 2001 made by JohnsonDiversey, Inc. (formerly known as S.C. Xxxxxxx Commercial Markets, Inc.) in favor of JWPR (the “Performance Undertaking”), (ii) acknowledges that the Agent, as a party to the Receivables Purchase Agreement, enjoys the benefits of the Performance Undertaking, and (iii) acknowledges and agrees that the Performance Undertaking remains in full force and effect (including, without limitation, after giving effect to this Amendment).
Reaffirmation of Performance Undertaking. The Provider consents to the execution by SPV and Flowserve of this Amendment, reaffirms all of its obligations under the Performance Undertaking and acknowledges and agrees that, after giving effect to this Amendment, the Performance Undertaking remains in full force and effect and is hereby ratified and confirmed.
Reaffirmation of Performance Undertaking. The Performance Undertaking Provider hereby acknowledges and reaffirms its obligations under the Performance Undertaking notwithstanding the amendments to the Receivables Transfer Agreement set forth in this Amendment, including, but not limited to, the increase to the Facility Limit, the amendments to the Servicing Agreement set forth in the Third Amendment to the Servicing Agreement, and the other documents referred to in Clause 6 (Conditions precedent) of this Amendment, and confirms that its obligations shall extend to any and all obligations resulting from such amendments to the Receivables Transfer Agreement and the Servicing Agreement and such other documents.
Reaffirmation of Performance Undertaking. Diversey, Inc. (i) reaffirms all of its obligations under the Performance Undertakings, (ii) acknowledges that the Agent, as a party to the Receivables Purchase Agreement, enjoys the benefits of each Performance Undertaking, and (iii) acknowledges and agrees that each Performance Undertaking remains in full force and effect (including, without limitation, after giving effect to this Amendment).
Reaffirmation of Performance Undertaking. RPM-Delaware hereby ratifies the Performance Undertaking and confirms that its obligations thereunder remain in full force and effect.
Reaffirmation of Performance Undertaking. Without in any way establishing a course of dealing, Cott Corporation hereby reaffirms all of its obligations under the Performance Undertaking and acknowledges and agrees that, after giving effect to this Amendment, the Performance Undertaking remains in full force and effect and is hereby ratified and confirmed.
Reaffirmation of Performance Undertaking. After giving effect to this Amendment, all of the provisions of the Performance Undertaking shall remain in full force and effect and the Performance Provider hereby ratifies and affirms the Performance Undertaking and acknowledges that the Performance Undertaking has continued and shall continue in full force and effect in accordance with its terms. SECTION 7.
Reaffirmation of Performance Undertaking. Provider acknowledges the amendments to the Receivables Purchase Agreement effected hereby and reaffirms that its obligations under the Performance Undertaking and each other Transaction Document to which it is a party continue in full force and effect with respect to the Receivables Purchase Agreement.
