Receipt by Agent. Agent shall have received the following items or documents which shall be in form and substance satisfactory to Agent:
Receipt by Agent of the executed originals of this Agreement, and any and all other documents and agreements which are required by this Agreement or by any other Loan Document, each in form and content acceptable to Agent;
Receipt by Agent of fully executed copies of the DDJ Intercreditor Agreement and copies of the documents evidencing the DDJ Indebtedness, in each case satisfactory in form and content to Agent; and
Receipt by Agent of a copy of the support letter from the Unsecured Creditors' Committee ("Committee") to the Borrowers for presentation to the Borrowers' trade creditors to the effect that (i) the Committee supports the Agreement, as amended, and (ii) the Committee believes the Agreement, as amended, is fair and reasonable for the Borrowers.
Receipt by Agent of UCC-1 financing statements respecting any new locations acquired in connection with the Mussxxxxx Xxxchase Agreement; and
Receipt by Agent in form and substance satisfactory to Lenders, of a Guaranty, dated as of the date hereof executed by PLMI in favor of Lenders and Agent.
Receipt by Agent. The Agent shall have received:
(i) Draw Request. A Draw Request;
(ii) Endorsement to Qualified Title Policy. An endorsement to the Qualified Title Policy as described in Section 3.2(c)(ii) hereof in form and substance reasonably acceptable to the Agent;
(iii) Lien Waivers. Duly executed lien waivers in the form set forth in Exhibit G attached hereto from all Major Contractors and Major Subcontractors in respect of all work performed, and all labor or material supplied for which payment thereof has been made, prior to the date of the immediately previous Advance (provided, however, that if any individual lien waiver is not delivered to Agent as required, Agent may withhold an amount equal to the payment corresponding to such missing lien waiver from the amount of the requested Advance and, so long as all other conditions precedent to such Advance have been met and no Event of Default shall then exist, shall fund the remaining portion of such Advance to Borrower);
Receipt by Agent of duly executed a reaffirmation of the Master Pledge Agreement from the holders of the Capital Stock of Phoenix and a reaffirmation of the Subsidiary Pledge Agreement from Phoenix.
Receipt by Agent. The Agent shall have received:
(i) Draw Request. A Draw Request;
(ii) Endorsement to Qualified Title Policy. An endorsement to Lender's Qualified Title Policy as described in Section 3.2(c)(ii) hereof in form and substance acceptable to the Agent in its reasonable discretion;
(iii) Lien Waivers. Duly executed lien waivers in the form set forth in Exhibit G attached hereto from all Major Contractors and Major Subcontractors in respect of all work performed, and all labor or material supplied for which payment thereof has been made, prior to the date of the immediately previous Advance;
