RECEIPT BY ESCROW AGENT. This Agreement fully executed by Hersha Owner, Owner JV and each of the other Parties thereto, has been received by Escrow Agent as of this 2nd day of February, 2016, and by its execution hereof. Escrow Agent hereby covenants and agrees to be bound by Sections 2.1, 2.2, 3.9, 4.4, 4.5(b), 9.1, 9.2, and 9.3 and any other terms of this Agreement that are applicable to Escrow Agent in its role as escrow agent pursuant to this Agreement. Escrow Agent’s agreement to the forgoing and execution of this Receipt is further subject to the following:
RECEIPT BY ESCROW AGENT. The undersigned hereby acknowledges receipt of the executed original of this Contract and the sum of $ as xxxxxxx money, and agrees to act as Escrow Agent. The Deeds shall be delivered to said Buyer by the Escrow Agent upon the closing of this Contract, pursuant to its terms.
RECEIPT BY ESCROW AGENT. The Escrow Agent hereby acknowledges that the Escrow Agent shall receive and accept the Transfer Documents in escrow and agrees to hold and keep them in accordance with the terms and conditions hereof, and to deliver the Transfer Documents upon the occurrence of the conditions hereinafter set forth.
RECEIPT BY ESCROW AGENT. Escrow Agent acknowledges receipt from Castelle of a certificate representing the Shares and from the Designated Shareholders' Agent of stock powers executed in blank by the Designated Shareholders with respect to the Shares. Xxxxxx Agent accepts appointment hereunder and agrees to hold and distribute the Shares in accordance herewith.
RECEIPT BY ESCROW AGENT. 3.1 The Escrow Agent shall receive and retain the Escrow Materials, and shall exercise that high level of care in holding the Escrow Materials that the Escrow Agent would use to protect other items of a similar nature which the Escrow Agent might own.
3.2 Title remains with Infertek under all circumstances.
3.3 The Escrow Agent agrees that it will not disclose or otherwise make available to any party, or make any use whatsoever of the Escrow Materials, except in accordance with this Agreement.
3.4 The Escrow Agent has no obligation to inspect or verify that the Escrow Materials are what they purport to be.
RECEIPT BY ESCROW AGENT. Vendor shall furnish to the Escrow Agent a packing list in triplicate describing each Deposit made under this Agreement. The Escrow Agent shall issue a receipt for all Escrow Materials received and forward copies of such receipts and packing lists to both School District and Vendor.
RECEIPT BY ESCROW AGENT. Escrow Agent acknowledges receipt of the Deferred Shares and agrees to hold the Deferred Shares in escrow pursuant to this Escrow Agreement.
RECEIPT BY ESCROW AGENT. The Escrow Agent shall acknowledge receipt of each deposit of Escrow Materials received from COMPANY by sending written acknowledgement thereof to both GM and COMPANY.
RECEIPT BY ESCROW AGENT. This Agreement, fully executed by both Seller and Purchaser, has been received by the Escrow Agent this 10th day of February, 2014 and by execution hereof, Escrow Agent hereby covenants and agrees to be bound by the terms of this Agreement that are applicable to it.
RECEIPT BY ESCROW AGENT. This Agreement fully executed by both Seller and Purchaser, has been received by Escrow Agent as of this 13th day of December, 2017, and by its execution hereof. Escrow Agent hereby covenants and agrees to be bound by Sections 2.1, 2.2, 2.3, 4.2, 4.3, 4.4(b), 5.4(b), 6.1(a), 9.1, 9.2 and Exhibit I, and any other terms of this Agreement that are applicable to Escrow Agent in its role as escrow agent pursuant to this Agreement.
