Recordation and Further Assurances. Lessor shall, at its own cost and expense, cause this Lease and the Lease Supplement to be filed with the Aeronautics Authority pursuant to the United States Transportation Code of 1994, as amended, and Lessee shall, at its own cost and expense, cause this Lease, the Lease Supplement and any other documents executed pursuant hereto to be filed or registered in such other places, whether within or outside the Country of Registration, as may be necessary or reasonably request by Lessor to perfect and preserve Lessor's title to and interests in the Equipment and rights hereunder, and Lessee shall on request furnish to Lessor an opinion of counsel satisfactory to Lessor or other evidence satisfactory to Lessor of each such filing, recordation and registration. Without limiting the foregoing, Lessee shall do or cause to be done, at its own cost and expense, any and all acts and things which may be required under the terms of the Convention for the International Recognition of Rights in Aircraft, signed at Geneva, Switzerland, on June 18, 1948, to perfect and preserve the title and interests of Lessor in and to the Equipment within the jurisdiction of any signatory State which has ratified such Convention and in the territories thereof in which Lessee may operate the Equipment, and Lessee shall also do or cause to be done at its own expense any and all acts and things which may be required under the terms of any other agreement, treaty, convention, pact, or by any practice, custom, or understanding involving any State in which Lessee may operate, and any and all acts and things which Lessor may reasonably request, to perfect and preserve the rights of Lessor in the Equipment and hereunder. In addition, Lessee will promptly and duly execute and deliver to Lessor such further documents and assurances and take such further action as Lessor may from time to time reasonably request in order to more effectively carry out the intent and purpose of this Lease and to establish and protect the rights and remedies created or intended to be created in favor of Lessor hereunder.
Recordation and Further Assurances. Forthwith upon the execution and delivery of each Sublease Supplement, the Sublessee will cause such Sublease Supplement to be duly filed and recorded in accordance with the Act. In addition, Sublessee will promptly and duly execute and deliver to Sublessor such further documents and assurances and take such further action as the Sublessor may from time to time reasonably request in order to more effectively carry out the intent and purpose of this Sublease and to establish and protect the rights and remedies created or intended to be created in favor of the Sublessor hereunder. The Sublessee's obligations under Article 11 shall be limited to action to be taken in the United States of America, unless the Aircraft is registered under the laws of a country other than the United States of America, in which case this Article 11 shall apply to action to be taken as well in the country in which such Aircraft is registered or such other applicable jurisdiction.
Recordation and Further Assurances. Lessor, Beneficiary and Lessee will promptly and duly execute and deliver to Lessor or Beneficiary or Lessee, as applicable, such further documents and assurances and take such further action as Lessor, Beneficiary or Lessee may from time to time reasonably request in order to more effectively carry out the intent and purpose of this Lease and to establish and protect the rights and remedies created or intended to be created hereunder, including, without limitation, if requested by Lessor or Beneficiary, at the expense of Lessee, the execution and delivery of supplements or amendments hereto, in recordable form, subjecting to this Lease any replacement engine and the recording or filing of counterparts thereof, or of financing statements with respect thereto for filing in the state in which the principal office of Lessee is located. Lessee will consent to the assignment of this Lease to a financier if requested to do so by Beneficiary and will cooperate in amending the insurances to cover any such assignee as an additional assured; provided that no such assignment shall diminish the rights and privileges of Lessee hereunder or increase Lessee's obligations hereunder.
Recordation and Further Assurances. EdiZONE further agrees promptly to confirm the foregoing assignment of the Specified Marks and, if requested by Purple, any other issued, registered, or pending item(s) of Incremental IP in one or more separate assignment documents, in the form set forth in Exhibit B (or another form reasonably acceptable to Purple and suitable for recording in the U.S. Patent and Trademark Office), and will so record such separate assignment document(s), or cooperate with Purple’s recordation thereof, within thirty (30) days after Purple’s request provided that EdiZONE shall not be required to incur any unreimbursed cost or expenses associated with complying with this Section 3.3. At Purple’s direction, and at no cost to Purple other than reimbursement of EdiZONE’s reasonable out-of-pocket costs, EdiZONE will execute such documents (and, as applicable, cause its affiliates and personnel to execute such documents) as Purple may reasonably request in order to permit Purple to perfect, memorialize, record, maintain, defend, and enforce Purple’s rights, title, and interests in and to the Specified Marks and any Incremental IP. To the extent that any of EdiZONE’s officers, managers or employees are required to testify, be deposed or otherwise be a witness in litigation Purple will pay them $2,500 per day. EdiZONE shall not be required to initiate or take any legal action to protect or enforce the Specified Marks and any Incremental IP.
Recordation and Further Assurances. Assignor hereby authorizes and requests the Director of the USPTO and any other governmental officials to record and register this Agreement upon request by Assignee. Xxxxxxxx agrees to assist Assignee in every proper way to evidence, record and perfect the assignments hereunder and to apply for and obtain recordation of and from time to time revive, enforce, maintain and defend the assigned rights, including the execution of any documents, files, registrations or other similar items to ensure that the Trademarks are properly assigned to Assignee, or any assignee or successor thereto.

Recordation and Further Assurances. Assignor authorizes and requests the United States Commissioner of Patents and Trademarks and any other applicable government authority to record, at the Assignee’s sole cost and expense, Assignee as the assignee and owner of the Assigned IP, to issue any and all registrations thereon to Assignee, as assignee of the entire right, title and interest in, to and under the same, and to issue to Assignee and its successors, assigns or other legal representatives all future certificates, notices and any other communications bearing on the Assigned IP. Assignor hereby authorizes the relevant Internet domain names registrar to record Assignee as the assignee and owner of the domain names with the Product Trademark and Domain Name. Assignor shall at all times after the Effective Date and subject to the terms and conditions of the Asset Purchase Agreement and this Assignment, at the sole cost and expense of the Assignee, provide to Assignee, its successors, assigns or other legal representatives, all reasonable cooperation and assistance at Assignee’s request and expense (including the execution and delivery of any and all affidavits, declarations, oaths, samples, exhibits, specimens and other documentation as may be reasonably required) as may be necessary or reasonably useful for the purpose of giving effect to this Assignment and to reasonably assist Assignee in exercising all rights with respect to the Assigned IP.
