Recusal. An individual serving as Plan Administrator may be eligible to participate in the Plan, but such person shall not be entitled to participate in discretionary decisions under Article 7 relating to such person’s own interests in the Plan.
Recusal. A. Any Board member who receives campaign contributions, charitable contributions, or Gifts that individually or in the aggregate exceed the amount of $250 in a calendar year from an Entity or Key Personnel shall recuse himself/herself from any involvement in a matter involving the maker of the contributions or Gifts for a period of 12 months following the date of the most recent contribution or Gift.
B. Any Board member who returns, donates, or reimburses the donor for Gifts subject to these restrictions within 30 calendar days of receipt of the Gift shall not be subject to the recusal requirement. Gifts may be returned, donated or reimbursed as specified in California Code of Regulations, Title 2, Division 6, Chapter 9.5, section 18943.
Recusal. A person shall not be precluded from receiving benefits under this Agreement as a result of serving as Plan Administrator or on any committee serving as Plan Administrator, but such person shall not be permitted to participate in the making of any decisions by or on behalf of the Plan Administrator that pertain to such person’s interest in the Agreement.
Recusal. The Parties covenant and agree that as long as Xxxxx Xxxxx is a member of senior management or the governing board of both BioXcel and BTI, he may participate in discussions at the senior management and governing board levels for each of BioXcel and BTI but shall not vote on matters coming before either governing board material to this Agreement, the Amended & Restated Separation and Shared Services Agreement or other agreements relating to the relationship between the Parties. Each Party shall ensure that Xxxxx Xxxxx recuses himself with respect to governing board matters consistent with this Section 11.
Recusal. A Director, Board Observer or a member of any Committee may not participate in the consideration or decision of any matter relating to a particular Exchange Member or any other Person if such Director, Board Observer or Committee member has a material interest in, or a professional, business, or personal relationship with, such Exchange Member or Person or if such participation shall create an appearance of impropriety (as determined by the majority of the remaining Directors). In any such case, the applicable Director, Board Observer or Committee member shall recuse himself or herself. If any Director or Committee member is recused from consideration of a matter, any decision on the matter shall be by a vote of a majority of the remaining members of the Board or the applicable Committee.
Recusal. After reviewing your assigned category entries, if you sense a conflict of interest or are concerned that your skill set does not match the category needs, we ask that you recuse yourself from those categories. Recusing yourself from one category does not limit your eligibility to judge other categories.
Recusal. In the event that a PCRC member is from a jurisdiction that is the subject of a review, that member will excuse himself or herself from the proceedings. In the case of a panel proceeding, the chair will select a replacement panel member from the PCRC.

The Parties covenant and agree that, in support of the Separation Plan as long as Xxxxx Xxxxx is a member of senior management or the governing board of both BioXcel and BTI, he may participate in discussions at the senior management and governing board levels for each of BioXcel and BTI but shall not vote on matters coming before either governing board material to this Agreement, the Contribution Agreement or other agreements relating to the relationship between the Parties. Each Party shall ensure that Xxxxx Xxxxx recuses himself with respect to governing board matters consistent with this Section 6.
Recusal. Contractor shall ensure that its employees never access or receive any case or participant information of any individual with whom they have a conflict. Below are examples of relationships that must be listed on the Recusal Form: • The CSE user has an open or closed case • The CSE user has a relative with an open or closed case • The CSE user has a former spouse who has an open or closed case • The CSE user lives with a person who has an open or closed case • The CSE user has a former or current business acquaintance who has an open or closed case
Recusal. The Axxx Xxx Group understands and agrees that the Board or any of its committees, in the exercise of its fiduciary duties, may require that the New Director be recused from any Board or committee meeting or portion thereof at which the Board or any such committee is evaluating or taking action with respect to the exercise of any of Company’s rights or enforcement of any of the obligations under this Agreement.
