Redemption Value. Upon the Transfer of any Interest pursuant to Section 10.4, or the redemption of an Interest pursuant to Section 10.7, the purchase price or Redemption Payment shall be equal to the Redemption Value of the Interest. “Redemption Value” of an Interest on any date shall, unless otherwise specifically provided in this Agreement, be equal to the most recent redemption valuation determination of the per Unit value of the Company by the Board in good faith; provided, that such valuation shall be calculated on a basis as consistent as practicable from period to period. The Board may, in its sole discretion, employ the advice of independent and qualified professionals in the determination of the Redemption Value, but is not under any obligation to do so. The Redemption Value of the Company shall be determined at such times as selected by the Board in its sole discretion. Valuations may generally be performed, at the discretion of the Board, as of the end of each fiscal year of the Company’s operations at the annual meeting of the Board; however, the Board, in its sole discretion, may have redemption valuations of the Company performed at any time or from time to time during any year and, except as otherwise specifically provided in this Agreement, shall utilize the results of the most recent valuation in determining the Redemption Value of an Interest for purposes of this Agreement. No Member or any party other than the Board shall have the right to require or request that a new or more recent valuation be performed for purposes of determining the Redemption Value of the Company or an Interest hereunder. The Company shall not establish the Redemption Value more than four (4) times during the Company’s taxable year.
Redemption Value. Notwithstanding the terms of the Participation Agreement or the RSU Plan, the Company and the Executive agree that the Redemption Value of the Units subject to the Participation Agreement shall be $2,100,000 and that the Company shall pay such Redemption Value to the Executive, subject to the Executive’s continued compliance with Sections 9(a), 9(b) and 10 of the Retention Agreement, dated as of August 24, 2005, between the Company and the Executive, as amended as of the date hereof, on March 1, 2008.
Redemption Value. The redemption value of Rewards Points shall be determined by Co-Brand Partner in accordance with the terms and conditions of the Rewards Program, unless otherwise denoted in this Agreement, which shall be no less favorable for Cardholders than for other participants in such Rewards Program. Rewards Points will be redeemable in the increments provided under the terms and conditions of the Rewards Program, which redemption increments shall be no less favorable for Cardholders than for other participants in such Rewards Program.
Redemption Value. The Redemption Value of the Participant's Owned Shares with respect to which a Participant exercises a Put Right will equal the Fair Market Value of such Owned Shares determined as of the date on which the Participant exercises such Put Right. If the Company exercises a Call Right, the Redemption Value of the Participant's Owned Shares will be equal to the Fair Market Value of such Owned Shares determined as of the date on which the Company exercises its Call STOCK INCENTIVE PLAN ASSIGNMENT, ASSUMPTION AND AMENDMENT AGREEMENT

Redemption Value. After repayment of any indebtedness for borrowed money (other than any of the indebtedness incurred pursuant to the SubDebt Documents), the proceeds of any Approved Sale (“Net Funds”) shall be applied as follows:

(i) As it relates to Purchased Shares, a per share price of such Purchased Shares, and (ii) as it relates to Warrants, the difference between the Exercise Price per share and the per share price of the Class B Common Stock underlying the Warrants (in each case reflecting, for these purposes, all Common Stock authorized for issuance and all stock and stock-based awards authorized for issuance under any benefit plan or agreement relating to the capital stock of the Company) based on the Fair Market Value thereof determined as of the date on which the Company exercises the Company Option.
Redemption Value. The Trustee may apply or invest any monies or realise any investment even if:

The amount of refund which shall include but not be limited to the amount paid in and an additional amount in the nature of interest at a rate that corresponds to the prevailing interest rates for savings accounts provided by banks and savings and loan associations, less any Administrative Fees paid (including an applicable Cancellation Fee). The Board may impose reasonable charges for such withdrawal or refund.
