Referral Fees. If the CLIENT was introduced to the ADVISER through a Solicitor, the ADVISER may pay that Solicitor a referral fee in accordance with Rule 206(4)-3 of the Investment Advisers Act of 1940. The referral fee shall be paid solely from Adviser Compensation as defined in this Agreement, and shall not result in any additional charge to the CLIENT. The CLIENT acknowledges receipt of the written disclosure statement disclosing the terms of the solicitation arrangement between the ADVISER and the Solicitor, including the compensation to be received by the Solicitor from the ADVISER.

Referral Fees. Itaú Parent and Corp Group Parent hereby acknowledge and agree that certain Chilean clients of CorpBanca may be interested in contracting financial services and products from financial entities located outside of Chile. Itaú Parent and CorpBanca shall discuss in good faith and on an arm’s-length basis the fees to be paid by Itaú Parent and its relevant Subsidiaries to CorpBanca or one or more of its Subsidiaries in consideration for or in connection with referrals of CorpBanca’s clients. Any such fees shall be paid in the most economically efficient manner to both parties in the relevant transaction. No fees shall be due by Itaú Parent or its Affiliates in connection with services and products that are requested by CorpBanca’s clients directly from Itaú Parent or any of its Affiliates other than CorpBanca and its Subsidiaries. Itaú Parent and CorpBanca and their respective Affiliates shall always comply with all applicable laws and regulations in the offer of such services and products to CorpBanca’s clients, the performance of their obligations and the exercise of their rights under this Section 4.22.
Referral Fees. Sellers pay a referral fee on each item sold. Items in several categories have a per-item minimum referral fee as listed below (for example, Sellers pay the greater of the referral fee or the per-item minimum referral fee).

Xxxxxx.xxx shall receive a credit for any Referral Fees paid on Qualifying Books which are later returned. The term "Sale Price" as used herein shall mean the sale price (i.e. the price listed under the "Our Price" heading) for such book listed in the Xxxxxx.xxx catalog in effect at the time of order and does not include costs for shipping, handling, gift-wrapping, and taxes. The term "Qualifying Books" as used herein shall mean all in-print books listed in Xxxxxx.xxx's catalogue at the time of order that are purchased by Users as a direct result of following a hypertext link from the Network to the Xxxxxx.xxx Web Site. Notwithstanding anything herein to the contrary, sales of books listed in our catalog or in search results a.% "out of print" or "hard to find" are not eligible for any Referral Fees.
Referral Fees. If OSI provides BISYS with an OSI New Sales Lead (as hereinafter defined) during the Term of this Agreement (or any Renewal Term) and the OSI New Sales Lead results in the sale of Licensed Software and/or Ancillary Products to the OSI New Sales Lead within twelve (12) months following the date of the referral notice, OSI shall be entitled to either a referral fee or a commission in accordance with this Section 6(g). For purposes of this Agreement, "OSI New Sales Lead" shall mean any bona-fide marketing or sales lead that OSI helps develop through its efforts and of which BISYS is notified through OSI's submission of the Lead Referral Form attached hereto as Schedule 6(g). BISYS shall be responsible for providing the OSI New Sales Leads with price quotes and its fees. BISYS agrees to be solely responsible for invoicing OSI New Sales Leads and collecting any monies due or owing to BISYS from or by any OSI New Sales Leads. OSI shall be entitled to, and BISYS hereby agrees to pay OSI, a referral fee (the "OSI Referral Fee") of $5,000 payable at the time of the first sale of Licensed Software to an OSI New Sales Lead if the first sale is made within twelve (12) months following the date of the referral notice. OSI Referral Fees shall be non-refundable.
