Common use of Registration and Insignia Clause in Contracts

Registration and Insignia. Lessee shall cause the Aircraft at all times, at its expense, to be duly registered during the Restricted Use Period and, subject to Section 11 of the Refunding Agreement, thereafter under the Federal Aviation Act in the name of Lessor or any successor or assignee, so long as (i) while the Aircraft is registered under the Federal Aviation Act, each of the Lessor or its successors or assigns is a "citizen of the United States" as defined in Section 40102(a)(15) of the Federal Aviation Act and (ii) the applicable parties to the Refunding Agreement cooperate with Lessee with respect thereto as reasonably requested by Lessee. Lessee shall not register the Aircraft or permit the Aircraft to be registered under any laws other than the Federal Aviation Act at any time except as provided in Section 11 of the Refunding Agreement and shall cause the Indenture to be duly recorded and maintained of record as a duly perfected mortgage on the Aircraft and this Lease at all times. Registration and Insignia. (a) The Lessee shall cause the Aircraft at all times, at its expense, to be duly registered during the Restricted Use Period and, subject to Section 11 of the Refunding Agreement, thereafter under the Federal Aviation Act in the name of Lessor on the Delivery Date and shall not take any act or fail to perform any successor act which would cause such registration not to remain in effect at all times during the Term of this Lease; provided, however, that on or assigneeafter the seventh anniversary of the Delivery Date, the Aircraft may be registered in a country of registry listed on Exhibit D hereto (or such other country as the Lessor approves) so long as the following conditions are met: (i) while the United States maintains normal diplomatic relations with the country of registry of the Aircraft; and (ii) the Lessor shall have received favorable opinions (subject to customary exceptions) from counsel of recognized reputation qualified in the laws of the relevant jurisdiction to the effect that: (A) the Lessor's ownership interest in the Aircraft shall be recognized under the laws of such jurisdiction, (B) the obligations of Lessee, and the rights and remedies of the Lessor, under the Lease shall remain valid, binding and (subject to customary bankruptcy and equitable remedies exceptions and to other exceptions customary in foreign opinions generally) enforceable under the laws of such jurisdiction (or the laws of the jurisdiction to which the laws of such jurisdiction would refer as the applicable governing law), (C) after giving effect to such change in registration, Lessor's right, title and interest in and to the Aircraft and the Lease shall continue and all filing, recording or other action necessary to protect the same shall have been accomplished, (D) it is not necessary, solely as a consequence of such change in registration and without giving effect to any other activity of the Lessor (or any Affiliate thereof), for the Lessor to qualify to do business in such jurisdiction, (E) there is no tort liability on passive lessor's of an aircraft not in possession thereof under the laws of such jurisdiction (it being agreed that, in the event such latter opinion cannot be given in a form satisfactory to the Lessor, such opinion shall be waived if insurance reasonably satisfactory to the Lessor is provided to cover such risk), and (F) (unless Lessee shall have agreed to provide insurance covering the risk of requisition of use of such Aircraft by the government of such jurisdiction so long as such Aircraft is registered under the Federal Aviation Act, each laws of such jurisdiction) the laws of such jurisdiction require fair compensation by the government of such jurisdiction payable in currency freely convertible into Dollars for the loss of use of such Aircraft in the event of the requisition by such government of such use. In addition, as a condition precedent to any such change in registration, Lessee shall furnish to the Lessor or its successors or assigns is a "citizen an Officer's Certificate to the effect that the insurance required by Section 12 of the Lease shall be in full force and effect at the time of such change in registration after giving effect to such change in registration and that the new country of registry imposes aircraft maintenance standards are materially differently from those of the United States" as defined in Section 40102(a)(15) of , France, Germany, Japan, the Federal Aviation Act and (ii) Netherlands or the applicable parties to the Refunding Agreement cooperate with Lessee with respect thereto as reasonably requested by LesseeUnited Kingdom. Lessee shall not register pay all costs, expense, fees recording and registration taxes, including the Aircraft or permit the Aircraft reasonable fees and expenses of counsel to be registered under any laws other than the Federal Aviation Act at any time except as provided in Section 11 of the Refunding Agreement and shall cause the Indenture to be duly recorded and maintained of record as a duly perfected mortgage on the Aircraft and this Lease at all times. At any time after the Restricted Use Period, Lessor, upon compliance and other charges in connection with all of any such change in registration. (b) On the terms of Section 11 of Commencement Date (or as soon as practical thereafter), the Refunding Agreement, shallLessee, at the request and sole expense of Lesseeits own expense, cooperate with Lessee to take all actions reasonably required to change the registration of the Aircraft to another country.
