Registration Rights Agreement. The Company and the Initial Shareholders have entered into a registration rights agreement (the “Registration Rights Agreement”) substantially in the form annexed as an exhibit to the Registration Statement, whereby the parties will be entitled to certain registration rights with respect to their securities, as set forth in such Registration Rights Agreement and described more fully in the Registration Statement.
Registration Rights Agreement. The Company shall have executed and delivered the Registration Rights Agreement.
Registration Rights Agreement. Buyer shall have duly executed and delivered to Seller the Registration Rights Agreement.
Registration Rights Agreement. The Company shall have entered into the Registration Rights Agreement on terms satisfactory to the Purchaser.
Registration Rights Agreement. The Registration Rights Agreement has been duly authorized, executed and delivered by the Company and is a valid and binding agreement of the Company, enforceable against the Company in accordance with its terms except as the enforceability thereof may be limited by bankruptcy, insolvency, or similar laws affecting creditors’ rights generally from time to time in effect and by equitable principles of general applicability.
Registration Rights Agreement. The Initial Purchasers shall have received a counterpart of the Registration Rights Agreement that shall have been executed and delivered by a duly authorized officer of the Company and each of the Guarantors.
Registration Rights Agreement. At the Closing, the Company shall have executed and delivered the Registration Rights Agreement to each Purchaser.
Registration Rights Agreement. The Purchaser and the Company shall execute and deliver the Registration Rights Agreement.
Registration Rights Agreement. The parties hereto agree to enter into the Registration Rights Agreement on or before the Closing Date.
Registration Rights Agreement. The Investor shall have duly executed and delivered the Registration Rights Agreement to the Company.
