Registration to Be Kept Effective. 5.1 In connection with any registration of the Covered Shares pursuant to this Agreement, the Company shall, at its sole expense, keep effective and maintain such registration and any related qualifications of the Covered Shares under state securities laws for such period as may be necessary for the Selling Shareholders, the Underwriters and selling agents to dispose of such shares, from time to time to amend or supplement the prospectus used in connection therewith to the extent necessary to comply with applicable laws, and to furnish to such Selling Shareholders such number of copies of the registration statement, the prospectus constituting a part thereof, and any amendment or supplement thereto as such Selling Shareholders request in order to facilitate the disposition of the registered Covered Shares.

Registration to Be Kept Effective. 5.1 In connection with any registration of the Covered Shares Restricted Securities pursuant to this Agreement, the Company shall, at its sole Stockholder's expense, (a) keep effective and maintain such registration and any related qualifications of the Covered Shares Restricted Securities under state securities laws for such period as may be necessary for the Selling ShareholdersStockholder, the Underwriters and selling agents to dispose of such shares, from time to time to amend or supplement the prospectus used in connection therewith to the extent necessary to comply with applicable laws, and to (b) furnish to such Selling Shareholders Stockholder such number of copies of the registration statement, the prospectus constituting a part thereof, and any amendment or supplement thereto as such Selling Shareholders request Stockholder requests in order to facilitate the disposition of the registered Covered SharesRestricted Securities.
