Registrations and Filings except for the Post-Delivery Authorizations and Filings, no filing or recording of any instrument or document is necessary or advisable under the laws of the State of Incorporation, the State of Registration or the Habitual Base in order to ensure the validity, effectiveness and enforceability of this Agreement or to establish, perfect or protect the rights and interests of Lessor in the Aircraft and this Agreement against Lessee and all other Persons;
Registrations and Filings. (a) Without prejudice to applicable Laws that may exclude this possibility, from and after the Closing, Buyer shall take the lead in coordinating the NDA transfers. Buyer shall file, or shall cause its Affiliates or designees to file, or, if required by applicable Law, Seller, its Affiliates or designees shall file, applications for the transfer of the NDA in the Territory.
(b) For the avoidance of doubt, Seller does not warrant and shall not be responsible for the successful transfer, maintenance or renewal of the NDA after the Closing Date and shall not be obligated to launch the Product in the Territory where it has not been launched before Closing.
Registrations and Filings. Buyer shall maintain the Registrations of Schedule A that include the word Stairmaster for at least ten (10) years from the effective date of this Stairmaster Technology Agreement.

Nautilus, in its sole discretion, has the option to, but is not required to: (i) file additional applications to register marks in the United States and/or in any other country or trademark registration jurisdiction; (ii) maintain any registration for any one or more of the Licensed Marks in any country; (iii) file to register copyrights in the United States in the name of Nautilus as owner for any one or more copyrighted works; and/or (iv) file any U.S. Patent Application, and/or maintain a patent or pending application for any one or more inventions. Buyer shall cooperate with Nautilus, at Buyer’s expense, and as requested by Nautilus, by providing information concerning the use of marks and specimens of use so as to assist Nautilus to maintain registrations.

The Purchaser shall procure that, as soon as practicable after Closing and in any event within 30 days after Closing, or to the extent that the sale of any Group Business or Shares has not completed pursuant to the terms of the relevant Business Transfer Agreement or Share Transfer Agreement as the case may be at Closing, as soon as practicable after the relevant Subsequent Transfer and in any event within 30 days after the relevant Subsequent Transfer, all applications, registrations, filings and other formalities that are necessary or reasonably required to reflect the transfer of the Shares and the Group Businesses from the Seller (or other relevant member of the Seller’s Group) to the Purchaser or other relevant member of the Purchaser’s Group shall be duly completed.

All registrations and filings in respect of the Security Documents shall have been made to the satisfaction of Lenders' Counsel in such jurisdictions as Lenders' Counsel shall determine to be necessary or appropriate; it being agreed that the Collateral Agent, for itself and on behalf of the other Agents and the Lenders, shall be entitled to make all such further registrations and filings in respect of the Security Documents after the Closing Date as the Collateral Agent or Lenders' Counsel shall consider appropriate.

(c) The Borrower and the Sponsor have fully and validly perfected [ ] Yes [ ] N/A all security interests created or intended to be created pursuant to the Debt Asset Documents relating to such B-Note, Mezzanine Loan, Whole Loan or (where the Lender so designates the same) Eligible Other Asset.

This Amendment shall be recorded and kept on file at the head offices of the Company, which shall be bound: (a) to comply with it, pursuant to Article 118 of the Brazilian Corporations Law; and (b) to refrain from performing any and all acts arising out of non-compliance with any obligation assumed under this Amendment.
