Registrations and Licenses. Each of the PHL Parties shall maintain, and cause each of the directors, officers, employees, agents and representatives of each of the PHL Parties or any Affiliate thereof to maintain all material registrations, licenses, memberships, approvals, and consents necessary or desirable to carry out their respective obligations under any of the Transaction Documents during the terms of the Transaction Documents, as applicable. PHLVIC shall promptly notify EQIS in writing upon the lapse, termination, non-renewal, suspension, revocation, or cancellation (without replacement) of any such registration, license, membership, approval, order or consent.

EQIS shall maintain, and shall cause each of the directors, officers, employees, agents and representatives of EQIS and any Affiliate to maintain all material registrations, licenses, memberships, approvals, and consents necessary or desirable to carry out their obligations under this Agreement or the Master Group Annuity Contracts during the terms of such agreements, as applicable. EQIS shall promptly notify each of the PHL Parties in writing upon the lapse, termination, non-renewal, suspension, revocation or cancellation (without replacement) of any such registration, license, membership, approval, order or consent.
Registrations and Licenses. 6.3.1. You warrant and represent that you hold and will maintain all registrations and licenses or exemptions thereto, in all jurisdictions in which you conduct business, and have otherwise obtained any required consent, authorization or approval of any governmental or regulatory authority required for you to enter this Agreement and perform any obligations under this Agreement.
6.3.2. Cboe Digital warrants and represents that Cboe Digital holds and will maintain all registrations and licenses or exemptions thereto (if any), in all jurisdictions in which Cboe Digital conducts relevant business required to lawfully offer the Cboe Digital Services. Among other things, Cboe Digital Exchange is registered as a DCM with the CFTC and Cboe Clear Digital is registered as a DCO with the CFTC. Cboe Clear Digital is also registered with the Financial Crimes Enforcement Network (“FinCEN”) as a money transmitter.

Borrower possesses adequate authority and licenses including, without limitation licenses and registrations necessary to make Eligible Contracts or to continue to conduct its business as presently conducted unless failure to obtain such authority and licenses would not result in a Material Adverse Effect.

For the purposes of carrying out each Mellon Party’s duties under this Agreement and the Ancillary Agreements, each Mellon Party is, and during the term of this Agreement will be, appropriately registered and hold the necessary licenses to act in its respective capacities set forth herein, wherever and in all relevant jurisdictions, as required, and its officers, directors, managers, partners and/or employees are registered or licensed to act in their respective capacities, in each such jurisdiction where such registration or license is required by applicable law. Each Mellon Party agrees to promptly provide written notice to the WisdomTree Parties of any failure to maintain such registrations or licenses.
