Regulatory Investigations. TCI and TLIC agree to cooperate fully in any insurance or judicial regulatory investigation or proceeding arising in connection with Contracts distributed under this Agreement. TCI and TLIC further agree to cooperate fully in any securities regulatory inspection, inquiry, investigation or proceeding or any judicial proceeding with respect to TLIC, TCI, their affiliates and their representatives to the extent that such inspection, inquiry, investigation or proceeding or judicial proceeding is in connection with Contracts distributed under this Agreement. Without limiting the foregoing:
(a) TCI will be notified promptly of any customer complaint or notice of any regulatory inspection, inquiry investigation or proceeding or judicial proceeding received by TLIC with respect to TCI or any representative or which may affect TLIC’s issuance of any Contracts marketed under this Agreement; and
(b) TCI will promptly notify TLIC of any customer complaint or notice of any regulatory inspection, inquiry, investigation or judicial proceeding received by TCI or any representative with respect to TLIC or its affiliates in connection with any Contracts distributed under this Agreement. In the case of a customer complaint, TCI and TLIC will cooperate in investigating such complaint and shall arrive at a mutually satisfactory response.
Regulatory Investigations. It shall be the Administrator’s duty and responsibility, and not the Owner Trustee’s duty and responsibility, to cause the Trust to respond to, defend, participate in or otherwise act in connection with any regulatory, administrative, governmental, investigative or other proceeding or inquiry relating in any way to the Trust, its assets or the conduct of its business.
Regulatory Investigations. AFSG and PFL agree to cooperate fully in ------------------------- any insurance or judicial regulatory investigation or proceeding arising in connection with Contracts distributed under this Agreement. AFSG and PFL further agree to cooperate fully in any securities regulatory inspection, inquiry, investigation or proceeding or any judicial proceeding with respect to PFL, AFSG, their affiliates and their representatives to the extent that such inspection, inquiry, investigation or proceeding or judicial proceeding is in connection with Contracts distributed under this Agreement. Without limiting the foregoing:
(a) AFSG will be notified promptly of any customer complaint or notice of any regulatory inspection, inquiry investigation or proceeding or judicial proceeding received by PFL with respect to AFSG or any representative or which may affect PFL's issuance of any Contracts marketed under this Agreement; and
(b) AFSG will promptly notify PFL of any customer complaint or notice of any regulatory inspection, inquiry, investigation or judicial proceeding received by AFSG or any representative with respect to PFL or its affiliates in connection with any Contracts distributed under this Agreement. In the case of a customer complaint, AFSG and PFL will cooperate in investigating such complaint and shall arrive at a mutually satisfactory response.
Regulatory Investigations. Each of the General Partner and the Subadvisors, as applicable, shall promptly notify UST and SIGTARP of (a) the commencement of any formal investigation (other than routine or sweep investigations) of which the General Partner or such Subadvisor becomes aware by the SEC or any other regulatory or administrative body with authority over any Relevant Person or Secondary Person, in connection with such Secondary Person’s activities related to the Partnership, that involves an allegation of a material violation of law by such Relevant Person or Secondary Person, as applicable, and (b) the outcome, when resolved, of any such investigation.
Regulatory Investigations. It shall be the Administrator’s duty and responsibility, and not the Owner Trustee’s duty or responsibility, to cause the Trust to respond to, defend, participate in or otherwise act in connection with any regulatory, administrative, governmental, investigative or other proceeding or inquiry relating in any way to the Trust, its assets or the conduct of its business; provided, that, the Owner Trustee hereby agrees to cooperate with the Administrator and to comply with any reasonable request made by the Administrator for the delivery of information or documents to the Administrator in the Owner Trustee’s actual possession relating to any such regulatory, administrative, governmental, investigative or other proceeding or inquiry. In the event that the Owner Trustee receives any notice of such proceeding or inquiry, the Owner Trustee shall promptly give such notice to the Administrator.
Regulatory Investigations. At your request, Zapier will assist you in the event of an investigation by a competent regulator, including a data protection regulator or similar authority, if and to the extent that such investigation relates to the Processing of Personal Information by Zapier on your behalf in accordance with this Addendum. Zapier may charge a reasonable fee for such requested assistance except where such investigation arises from a breach by Zapier of the Agreement or this Addendum, to the extent permitted by applicable law.
Regulatory Investigations. As soon as practicable, and in any event within 5 Business Days after receipt thereof by the Borrower or any Subsidiary, copies of each notice or other correspondence received from the SEC (or comparable agency in any applicable non-U.S. jurisdiction) concerning any investigation or possible investigation or other inquiry by such agency (other than reviews of the Borrower’s periodic reports in the ordinary course) regarding financial or other operational results of the Borrower or any Subsidiary;
Regulatory Investigations. Upon notice to Vendor, Vendor will assist and support Customer in the event of an investigation by any regulator, including a data protection authority, or similar authority, if and to the extent that such investigation relates to Personal Information handled by Vendor on behalf of Customer in accordance with this Exhibit. Such assistance will be at Customer’s sole expense, except where investigation was required due to Vendor’s acts or omissions, in which case such assistance will be at Vendor’s sole expense.
Regulatory Investigations. At Customer’s request, Moveworks will assist Customer in the event of an investigation by a competent regulator, including a data protection regulator or similar authority, if and to the extent that such investigation relates to the Processing of Personal Data by Moveworks on Customer’s behalf in accordance with this Addendum. Moveworks may charge a reasonable fee for such requested assistance except where such investigation arises from a breach by Moveworks of the Agreement or this Addendum, to the extent permitted by applicable law.
Regulatory Investigations. The Insurers agree, subject to the relevant sub-limit of liability stated in the Schedule, that cover under this policy is extended to include the necessary and reasonable costs and expenses (which are not otherwise covered by this policy) of legal representation of the Insured at any investigation or proceeding by a Regulator at which the Insured in the opinion of the Insurers, in their absolute discretion, should be represented by reason of any conduct which might give rise to or has given rise to a Claim or Loss under this policy. Furthermore, Insurers agree to pay any PCI Fines, fines and penalties made against the Insured under this extension, so long as such fines and penalties are deemed legally insurable in the relevant jurisdiction(s). This policy will not cover any investigations that are customary regulatory examinations, audits, industry-wide investigations, or any other standard or procedural visit or correspondence. Furthermore, no excess shall apply to this extension
