Except as set forth on Schedule 3.22, no officer, director, shareholder, partner, Affiliate of Seller, or any individual related by blood or marriage to any such Person, or any entity in which any such Person owns any beneficial interest, is a party to any agreement, contract, commitment, promissory note, loan, any other actual or proposed transaction with Seller, or has any interest in any Purchased Asset, which is used in or necessary for the operation of the Business.
